Most confidentiality clauses — when they exist at all — cover the obvious stuff.

Don’t share my passwords. Don’t talk about my business.

But data security? Almost never covered.

Your contractor has access to your client list, their emails, maybe even payment information. They’re working from their personal laptop. Their home WiFi. Their phone.

And if something goes wrong — a hack, a breach, a stolen device — and there’s nothing in writing about how they’re supposed to handle that data —

you have very little to stand on.

And here’s the thing — most of the time it’s not even a hack.

It’s a contractor sharing a client’s name in a Slack message to the wrong person.
It’s someone storing your client data in a personal Google Drive they share with their whole team.
It’s a freelancer who still has access to your CRM six months after you stopped working together.

None of it intentional. All of it a problem.

Without a data protection clause in your agreement — there is no obligation. No standard they had to meet. No recourse you can take.

A real contractor agreement covers not just what they deliver — but how they handle everything they have access to.

Your clients trusted you with their information. That responsibility doesn’t stop at your front door.

A client handed me the contractor agreement she had been using in her business. She found it online. Put her name on it. Called it done.

One-sentence confidentiality clause. No IP assignment. A non-solicit listed as optional — in brackets.

This isn’t a rare agreement. It’s one of the most common ones I see.

The gaps aren’t obvious unless you know what to look for. Now you do.
