Legal Alert: The Second Circuit has vacated the US$16.1 billion Petersen judgment against Argentina, overturning the SDNY’s decision and setting aside related enforcement orders. The Court held that the shareholders’ claims were not cognizable under Argentine law, finding that YPF’s bylaws did not create enforceable contractual obligations to minority shareholders and that Argentina’s expropriation regime could preclude such claims.

Why it matters:
This decision is a significant development for sovereign litigation, reinforcing the importance of foreign law analysis and highlighting arbitration as a potential alternative pathway for claimants.
