The vendor contract was sitting on the table, ready for another signature.

Then someone asked, “Are we actually happy with how this went?”

That changed the conversation.

The team started remembering the late deliveries, surprise charges, quality issues, and all the times someone had to step in to keep things moving.

Before renewing, look at how the relationship has actually worked—not just what the contract says.

Sometimes the problems everyone learned to work around are exactly what the next agreement needs to address.

You’re reviewing the financials and notice a number that wasn’t there before.

Your partner’s compensation went up. Maybe it’s salary. Maybe a bonus. You don’t remember discussing either.

Before assuming the worst, go back a few months. Compare the payments, distributions, approvals, and responsibilities.

Sometimes there’s a reasonable explanation. Sometimes that one number is where a much bigger problem starts to show.

If something in your company’s financials suddenly looked different, would you know what records to check first?

The termination email was written and ready to go.

The vendor had missed another deadline, and after months of problems, sending it felt overdue.

Then someone checked the contract.

There was a specific notice process—who had to receive notice, how it had to be sent, and how long the vendor had to fix the problem.

That small detail changed what happened next.

Before you hit send on an early termination, make sure the contract lets you leave the way you are planning to leave.

A business owner looked at the contract and saw another 14 months on the term.

The vendor was already missing deadlines; the team was frustrated, and waiting another year felt unreasonable.

But an expiration date does not always tell you when you can leave. The termination provisions may matter much sooner.

Before deciding you are stuck, read the exit terms closely.

When a contract includes an addendum, don't assume the standard form tells you the whole deal.

In California, specifically negotiated terms can control over conflicting boilerplate language. That means a seemingly simple addendum may significantly change the rights and obligations you thought you were agreeing to.

A partnership rarely goes from healthy to broken overnight.

Usually, something smaller changes first. A meeting happens without you. A financial question gets a vague answer. A decision that used to be made together is suddenly made without you.

One incident may mean nothing. A pattern deserves attention.

If the way decisions are being made has changed, take a closer look at what changed with it.

When a partnership becomes impossible to operate, ending the relationship doesn't necessarily mean giving up the business.

A buyout, negotiated separation, restructuring, or—in some circumstances—dissolution may provide a path forward while protecting the value you've built.

The key is understanding your options before the conflict starts making decisions for you.

If you're trying to find a workable way forward, schedule a conversation with our team for clarity: 📞 (714) 415-2007

When trust breaks down between business partners, proving who was wrong can quickly become the focus.

But the more important question may be: What outcome best protects what you built?

Mediation, a negotiated buyout, and litigation offer different paths depending on your priorities—control, privacy, timing, recovery, or business continuity.

Our latest article explains how to evaluate your options before choosing your next move.
