Creation of a corporation for the purpose of avoiding a potential obligation is improper; a recent Virginia case wherein the owners maintained the formalities was held insufficient to protect the owners personally because the only reason they formed the company was to avoid this pre-existing potential claim which had not yet been sued upon.
