6 STEPS TO START A LIMITED LIABILITY COMPANY

Starting a limited liability company offers the owners protection than if they continued to operate as sole proprietors.
A limited liability company, exists separately from its owners (known as members) and the owners are therefore shielded from personal liability of business debts.

So you want to start a Company? Here’s a 6-Step guide to follow:

Step 1: Reserving a Name for Your Company

When choosing a name for your company seek to stand out with a unique name.

A Google search may give you a slight idea of similar existing company names which you should stay away from or not propose to be used in your application for reservation.
But deeper research should give you at least 3 named you may submit to URSB for a choice of possible name for your company.

A choice of a unique name avoids confusion and trademark infringement claims. A distinct name can also be used as your domain name for your website.

Step 2: Choosing shareholders and directors

A limited liability company will have at least two (2) directors if it is not a Single Member Company. These shall be appointed from the shareholders in the company and are the ones responsible for running the business of the company.

A shareholder must be over the age of 18 years to qualify as Director.

Step 3: Prepare a Memorandum and Articles of Association

This memorandum contains the Objectives of forming the company and the business of the company as well as the share capital of the company.

The Articles on the other hand specify how the affairs of the company will be conducted and specifies such things as the ownership interests and voting rights of the members, how profits and losses will be allocated, how meetings will be held, how the business will be governed, the rights of the members if one of them dies or leaves the business, and the way the company will be dissolved if it goes out of business.

4 QUESTIONS TO ANSWER WHEN STARTING A COMPANY.

1. What is the Company or Business name?

To start a company under your desired name, a search must be made on the business companies’ register at the Company’s registry. It’s not advisable to do your own search on Google or any other search engines as these can be misleading. A payment of 20,000 made in the bank for a search with URSB will give you a conclusive answer on whether to proceed with your desired name or get another.

2. What is the Business structure?

Decision on your business structure is one of those pertinent issues while starting out and care should be taken on such decisions. You may decide on whether to start out as a Private Limited Liability Company (which is the most Common), Single Member Limited Liability Company, a company Limited by Guarantee without share capital, a Non-Governmental Organization, Partnership, Sole proprietorship etc.

3. Who are the Directors?

The persons you will choose to make the day-to-day decisions of the company are the directors. Any choice of these should not be based on personal sentiments but on making the company profitable and self-sustaining within the next few years. although relatives and family members may be good at the beginning, their appointment should be based on competence.

4. What kind of business will you engage in?

A company can engage in more than one business under the same company name. As you consider putting your new into a legal entity, it is detrimental to limit your vision to the present. Rather, project your company and its likely potential within 10-20 or more years then have these incorporated into your objectives.
