Re: Prescribing Criteria and Supporting Documents for Applications for the Registration of the Establishment of Partnerships and Limited Companies in Cases Where Foreigners Jointly Invest or Have Signing Authority in Partnerships and Limited Companies

Whereas it is appropriate to amend and improve the criteria and procedures for the registration of partnerships and limited companies so that the registration of partnerships and limited companies in which foreigners jointly invest or in which foreigners have signing authority may be conducted in an orderly and appropriate manner;
By virtue of the authority under Clause 3, paragraph three, of the Regulation on the Establishment of the Partnership and Company Registration Office, the Appointment of Registrars, and the Prescribing of Criteria and Procedures for the Registration of Partnerships and Limited Companies B.E. 2549 (2006);
The Central Registrar hereby issues the following Order:
Clause 1
The Order of the Central Partnership and Company Registration Office No. 205/2555 re: Prescribing Criteria and Supporting Documents for Applications for the Registration of the Establishment of Partnerships and Limited Companies in Cases Where Foreigners Jointly Invest or Have Signing Authority in Partnerships and Limited Companies, dated 22 November B.E. 2555 (2012), shall be repealed.
Clause 2
An applicant for the registration of the establishment of a partnership or a limited company shall submit documentary evidence of Thai nationality for each Thai-national partner or shareholder in every application for registration, in the following cases:
(1) Where a partnership or a limited company has partners or shareholders who are foreigners holding shares or partnership interests, or holding shares or partnership interests amounting to not less than fifty percent (50%) of the registered capital;
(2) Where a limited company has no foreign shareholders, but foreigners are directors with signing authority or are co-signatories binding the company.
Clause 3
An applicant for registration under Clause 2 shall submit bank statements issued by a bank, covering a period of six (6) months prior to the date of payment of the share capital or capital contribution, from the account used to pay the share capital or capital contribution of each Thai-national partner or shareholder.
Such bank statements shall show deposits or transfers consistent with the amount of the share capital or capital contribution and the date of such payment.
This Order shall come into force as from 1 January B.E. 2569 (2026).
