We are thrilled to announce that the landmark amalgamation between Banpu Public Company Limited and Banpu Power Public Company Limited has been successfully completed.

Thanathip & Partners proudly served as legal adviser to both Banpu and Banpu Power throughout this transformative internal group restructuring — from initial structuring, through the general offer process and regulatory approvals, all the way to completion, working alongside Kiatnakin Phatra Securities (KKP) in its role as financial adviser.

The newly amalgamated entity commences trading on the Stock Exchange of Thailand today under the ticker "BANPU". The merged group will operate under four strategic pillars: Next-Gen Mining, U.S. Closed-loop Gas, Power Plus, and Future Tech — streamlining the group's corporate structure, unlocking synergies, and enhancing operational agility as Banpu accelerates its energy transition towards Net Zero.

This deal represents a major milestone — not only for our clients but for Thailand's capital markets and energy landscape. It has been a privilege to work alongside Banpu, Banpu Power and KKP in bringing this complex, multi-faceted transaction to fruition.

Thanathip & Partners acted as Thai legal counsel to MADE Group in connection with the acquisition by Danone, a leading global food and beverage company.

MADE Group is an Australia-based health-focused food and beverage company with a portfolio of established brands, particularly across the health and wellness sector. The group also owns Crossmax Retail Co., Ltd., the business behind the Hooray! brand, a leading ready-to-drink protein shake brand in Thailand. The transaction supports Danone's strategy to strengthen its presence in the fast-growing healthy nutrition market across the Asia-Pacific region.

The transaction remains subject to customary closing conditions, including regulatory approvals.

As we approach the midpoint of 2026, we are pleased to see continued activity across Thailand’s manufacturing and industrial sectors, particularly in relation to cross-border M&A, strategic investments and acquisition financing matters.

Recent transaction highlights include:

Advising on Thai law aspects relating to the multi-jurisdictional acquisition of Senior Plc, an international aerostructures business listed on the London Stock Exchange, valued at up to GBP 200 million. The transaction involved the cross-border acquisition of a manufacturing entity in Thailand together with a complex acquisition financing and security structure, supporting the expansion of Senior Plc’s international manufacturing platform.

Advising T.R.V. Rubber Products on its debt-financed investment in O2 Phanat Co., Ltd. for the development of a raw water resource management business. The investment supports T.R.V. Rubber Products’ continued business diversification and long-term growth strategy within Thailand’s industrial sector.

A highly respected legal scholar, prosecutor, diplomat, and advocate for the rule of law, Her Royal Highness devoted much of her career to advancing access to justice, promoting legal reform, and improving the welfare and rehabilitation of vulnerable groups, particularly women within the criminal justice system.

Her commitment to justice, public service, and the development of Thailand's legal community has left a lasting legacy that will continue to inspire generations of legal professionals.

Our thoughts and prayers are with the people of Thailand during this time of mourning.
