The Department of Business Development (“DBD”) has issued a new order that will take effect on 1st August 2026 and forms part of DBD’s ongoing efforts to strengthen the company registration process and prevent the concealment or disguise of financial transactions arising from nominee arrangements.

The new order continues to impose enhanced documentary requirements for company incorporation applications involving (i) companies with foreign shareholdings of less than 50%, and (ii) wholly Thai-owned companies proposing to appoint a foreign national as an authorised director.

The new order further extends these requirements to post-incorporation applications to amend a company’s authorised directors, where all authorised directors are currently Thai nationals but the proposed amendment would result in a foreign national becoming an authorised director.

This Update highlights the key changes introduced by the New Order, practical considerations arising from its implementation, and the DBD’s current position on compliance with the revised requirements.

𝐄𝐦𝐩𝐥𝐨𝐲𝐞𝐞 𝐖𝐞𝐥𝐟𝐚𝐫𝐞 𝐅𝐮𝐧𝐝 (𝐄𝐖𝐅): 𝐊𝐞𝐲 𝐈𝐬𝐬𝐮𝐞𝐬 𝐟𝐨𝐫 𝐄𝐦𝐩𝐥𝐨𝐲𝐞𝐫𝐬 𝐁𝐞𝐟𝐨𝐫𝐞 𝟏 𝐎𝐜𝐭𝐨𝐛𝐞𝐫 𝟐𝟎𝟐𝟔

The long-awaited implementation of Thailand’s Employee Welfare Fund (EWF) is approaching, with the new regime scheduled to take effect on 1 October 2026.

While many employers may expect their existing benefits arrangements, including provident funds (PVDs), to eliminate the need for EWF participation, the position is not always straightforward. The applicability of available exemptions will depend on the structure of existing employee benefit programmes and workforce arrangements.

Employers should therefore review their employment and benefit structures well in advance to assess potential obligations, exemption eligibility, and compliance requirements before the EWF comes into force.

The session brought together legal practitioners and professionals to examine key developments and practical issues in Thailand's insolvency framework. Ajarn Surasak's discussion focused on the legal effects of a receivership order under the Bankruptcy Act, a topic that remains highly relevant as businesses across Thailand continue to navigate financial distress, restructuring, and recovery processes in today's economic environment.

Understanding how a receivership order operates, and the legal consequences it triggers for debtors, creditors, and other stakeholders, is essential for practitioners advising on insolvency and restructuring matters. Surasak drew on his extensive experience to unpack these issues for participants. He was supported in this engagement by our Senior Associate, 𝗧𝗵𝗮𝗻𝗮𝗽𝗮𝘁 𝗬𝗮𝗲𝗺𝗸𝗹𝗶𝗻.
