Would you like to use popular music in your videos? 🎶

✅ There are two main categories of rights you have to clear:

1. the rights to the composition of a musical work, which consists of the underlying lyrics and melody written by the songwriter; this is most often owned or administered by the music publisher.

2. the rights to the sound recording itself (“master”); this is most often owned or administered by the record label.

✅ Accordingly, you need to obtain two different music licenses:

1. a music synchronization license, granted by the holder of the copyright of a particular composition, allowing the licensee to synchronize ("sync") music with some kind of video materials (film, YouTube videos, advertisements etc.).

2. a master license, granted by the owner of a copyrighted sound recording allowing the licensee to use the sound recording.

✅ Licensing fees can range anywhere from a few hundred dollars, to millions of dollars for popular recordings of songs. In order to save money on the master side, you can use a cover version of a particular song.

In general, the new Consumer Protection Act (ZVPot-1) provides a higher level of consumer protection. However, there are certain benefits for retailers as well. Are you granting consumers more rights than required?

The ZVPot-1 brought the following changes, favorable for retailers.

1. Hierarchy of remedies

✅ If a product is non-conforming, consumers are now first required to request repair or replacement, and only as a second step can they ask for a price reduction or termination of the contract and a full refund.

✅ In spite of the hierarchy of claims, consumers can terminate the contract and claim a full refund if the non-conformity occurs within less than 30 days of the delivery of the goods.

✅ Before the ZVPot-1, consumers were free to choose between repair, replacement, price reduction or termination if a product was non-conforming.

2. Warranty

✅ Under the ZVPot-1 consumers can enforce the warranty claims only against the grantor of the warranty. Before, the warranty claims could also be enforced against the seller. Note, this obligation still applies to products sold before the ZVPot-1 came into force.

✅Additionally, the mandatory one-month warranty for certain second-hand goods was abolished.

The ZVPot-1 came into force on 26th of January 2023. If you haven’t updated your terms and conditions yet, hurry up. Not just to be compliant with the new obligations, but also to enjoy the favorable changes and prevent your money to fly away. 💸

✅ 50 % off the basic application fees for trade mark and design outside the EU.

Retailers beware, a prohibition of fake discounts is on its way.

On 26 January 2023 the new Consumer Protection Act (ZVPot-1) will come into force, transposing the Omnibus Directive (EU 2019/2161) into national legislation. The prohibition of fake discounts is part of the directive’s overarching aim of higher transparency and increased consumer protection.

✅ What are fake discounts?
Fake discounts are discounts on an artificially increased prior price. For example, a retailer would raise the price of product X from € 50 to 90 one day before Black Friday. On Black Friday, it would present consumers with an “amazing deal”, offering 45 percent off. Consumers end up paying € 49.50 for a product that was originally € 50 (before the company raised it temporarily to € 90), thinking they got an extraordinary deal, while in fact the difference is negligible.

✅ How will the ZVPot-1 prevent fake discounts?
According to the ZVPot-1, announcements of discounts shall, subject to certain exceptions, indicate the prior price, which is defined as the lowest price applied by the retailer during a period of at least 30 days. Therefore, retailers will not be able to raise the price right before a promotional period, to create the impression of a large discount.

As the last EU member state, Slovenia has finally transposed the General data protection regulation (GDPR) into national legislation by the Personal data protection act (ZVOP-2).

✅ When will ZVOP-2 come into force?
26th of January 2023.

✅ What does that mean?
The Slovenian supervisory authorities will now be able to issue fines for infringements of the GDPR.

✅ What is the maximum fine under the GDPR?
20 million euros or 4 % of the preceding year’s total worldwide turnover, whichever is higher.

Yes, the GDPR has teeth. However, it only bites those who are not prepared.
