Parent Passed Away Leaving Real Properties. What Is the Proper Procedure Before the Heirs Can Sell?

When a person dies leaving real properties, the estate must first be legally settled before any sale can be validly effected. Under TRAIN law, Philippine estate tax is a 6% flat rate imposed on the net estate of a decedent (resident or non-resident) at the time of death. Until the estate tax is properly filed and paid, the properties cannot be transferred to the heirs, and any intended sale will encounter legal and tax impediments.

If the heirs intend to dispose of the inherited property, the transaction typically involves the ex*****on of the following:

*Extrajudicial Settlement of Estate (EJS) (if there is no will and the heirs are in agreement); and

*Deed of Absolute Sale in favor of the buyer (which may be executed simultaneously with the EJS, subject to proper structuring).

The subsequent sale is subject to separate taxes, namely:
- Six percent (6%) Capital Gains Tax (CGT); and
- Documentary Stamp Tax (DST) ranging from 1.5% to 1.75%, depending on the applicable valuation basis.

Proper sequencing of settlement and transfer documents is essential to avoid penalties, delays, and rejection by the BIR or Registry of Deeds.
