Did you know your corporation could face 💸 fines and penalties if you don’t file your SEC 2026 reports on time?

Under SEC Memorandum Circular No. 09, Series of 2026, all corporations must submit their 📄 Annual Financial Statements (AFS) and 🗂 General Information Sheet (GIS) through 💻 eFAST:

🔹 Fiscal year ending Dec 31 → AFS due May 29, 2026
🔹 Other fiscal years → within 120 days from year-end
🔹 GIS → within 30 days from annual meeting or SEC license anniversary

⚠️ Late or incomplete filings will not be accepted!

🚨 SEC UPDATE FOR CORPORATIONS! 🚨

Increasing your Company's authorized capital stock is now more streamlined.

Under SEC Memorandum Circular No. 6, Series of 2026, the SEC has expanded the use of a notarized Subscription Contract in lieu of a Special Audit Report for cash subscriptions, removing the ₱50,000,000 paid-up capital threshold.

Corporations now generally need only a notarized Subscription Contract signed by:
1. the subscriber(s);
2. President, and
3. Treasurer (or a duly authorized officer).

📌 However, a Special Audit Report is still required for:
1. Listed companies
2. Public companies
3. Companies offering securities to the public
4. Companies with SEC secondary licenses

📢 BIR Update on De Minimis Benefits

The BIR has issued Revenue Regulations No. 29-2025, introducing updates to the non-taxable thresholds for selected employee benefits.

Employers are encouraged to review their compensation and benefits structure to ensure compliance and maximize tax-exempt benefits.

This shall take effect after 15 days following its publication.
