Ayon sa Article 1305 ng Civil Code ng Pilipinas (RA 386), ang kontrata ay isang pagtatagpo ng kaisipan ng dalawang tao, kung saan ang isa ay nangangako na magbibigay ng isang bagay o magbibigay ng serbisyo sa kabilang partido. Sa madaling salita, ito ay isang ligal na kasunduan na lumilikha ng mga karapatan at obligasyon para sa magkabilang panig.
Hindi ito simpleng piraso ng papel. Ito ang iyong proteksyon, iyong katibayan, at iyong batas sa pagitan mo at ng kabilang partido.

Ayon sa Article 1318 ng Civil Code, tatlong bagay ang dapat naroroon para maging wasto ang isang kontrata:

Sa Pilipinas, maaaring maging wasto ang isang kontratang pasalita. Ngunit ang nakasulat na kontrata ay higit na mas ligtas. At ang notaryadong kontrata โ€” ang pinakamatibay.
Kapag ang isang kontrata ay nanotaryo, ito ay nagiging pampublikong dokumento. Mas mahirap itong itanggi, mas kapani-paniwala sa korte, at mas protektado ang magkabilang panig. Tandaan: ang notaryo sa Pilipinas ay abogado, kaya ang proseso ay may propesyonal na pangangasiwa.
Ilang uri ng kontrata ay kinakailangang nakasulat at nanotaryo โ€” tulad ng pagbili ng lupa o real property, donasyon ng real property, at iba pang mahahalagang transaksyon.

Ito ang tinatawag na paglabag sa kontrata o breach of contract. Nangyayari ito kapag ang isang panig ay nabigong tuparin ang kanyang obligasyon nang walang makatwirang dahilan.
Sa ganitong sitwasyon, ang nagdusang panig ay may karapatang humingi ng:

Isang mahalagang hakbang: kahit hindi palaging kinakailangan, ang pagpapadala ng demand letter โ€” isang nakasulat na hiling na tumupad โ€” ay estratehikong paraan upang magsimula ng papel na katibayan.

Ang bawat kontrata sa Pilipinas ay pinamumunuan ng apat na pangunahing prinsipyo:

Marami sa atin ang nangangarap magmay-ari ng sasakyan. Ang second-hand car ay isang praktikal na pagpipilian โ€” pero may kasamang mahahalagang legal na proteksyon na dapat nating malaman.
๐Ÿ“Œ ANG SITWASYON:
Si Mang Romy ay nagbenta ng kanyang 2018 Toyota Vios kay Ana sa halagang โ‚ฑ450,000. Sinabi ni Mang Romy na maayos ang kotse โ€” "walang problema, sigurado!" Nagbayad si Ana, napalipat na ang OR/CR sa kanyang pangalan. Pero pagkalipas ng dalawang buwan, nalaman ni Ana na may sira palang makina na hindi nakikita sa simpleng pagtingin โ€” at ang halaga ng pagpapaayos ay โ‚ฑ80,000!
Tanong: May karapatan ba si Ana? Kailangang tanggapin na lang ba niya ito?
โš–๏ธ ANO ANG SABI NG BATAS?
1. CIVIL CODE OF THE PHILIPPINES โ€” Warranty Against Hidden Defects
(Articles 1561 & 1566)
โœ… Ang nagbebenta ay responsable sa mga nakatagong depekto (hidden defects) na:
โ€” Hindi nakikita sa ordinaryong pagtingin
โ€” Nagpapawalang-saysay o nagpapababa ng gamit ng biniling bagay
โ€” Kung alam sana ng bumibili, hindi niya binibili o mas mababa ang kanyang babayaran
โœ… Ang bumibili ay may 6 na buwan mula sa petsa ng pagbibigay ng sasakyan para mag-file ng kaso.
โœ… Maaaring humingi si Ana ng:
โ€” Rescission (ibalik ang kotse, ibalik ang pera), o
โ€” Reduction of price (bawasan ang presyo base sa depekto)
โ€” Damages kung may panloloko (fraud) ang nagbenta
โš ๏ธ IMPORTANT: Kung sinabi ng nagbenta na maayos ang sasakyan pero alam niya ang depekto โ€” iyon ay fraud, at mas mataas ang kanyang pananagutan sa batas!
๐Ÿ“‹ 2. REPUBLIC ACT 7394 โ€” Consumer Act of the Philippines
โœ… Ang batas na ito ay nagpoprotekta sa lahat ng mamimili.
โœ… Para sa brand-new na sasakyan โ€” may implied warranty na awtomatikong kasama sa benta (1 taon o 20,000 km, alinman ang mauna).
โš ๏ธ Para sa second-hand / used na sasakyan tulad ni Ana โ€” ang implied warranty sa ilalim ng RA 7394 ay hindi awtomatikong naaangkop, MALIBAN na lang kung ang nagbebenta ay nagbigay ng express warranty (nakasulat o verbally na nangako na maayos ang sasakyan).
โœ… Pero kung nagsinungaling ang nagbenta o may deceptive sales act โ€” maaari pa ring kumasa ang RA 7394 at DTI para sa remedyo.

What Every Filipino Consumer Should Know
As consumers, we walk into cafรฉs, restaurants, hotels, and other public service establishments with a reasonable expectation โ€” that these spaces are clean, safe, and properly regulated. This is not simply a matter of preference. It is a matter of law.
The Philippine government has put in place a comprehensive legal framework to protect the public from unsafe food, unsanitary conditions, and preventable hazards. Being informed about these laws empowers us to make better choices, ask the right questions, and hold establishments to the standards they are legally required to meet.
๐Ÿ“Œ 1. Presidential Decree No. 856 โ€” Code on Sanitation of the Philippines
This foundational law covers all establishments that prepare, serve, or sell food and beverages to the public โ€” including cafรฉs, carinderia, fast food chains, restaurants, canteens, hotels, resorts, and similar businesses.
Under this law, covered establishments are required to:
โ€” Secure a Sanitary Permit from the local health authority before operating, and renew it regularly
โ€” Maintain proper food handling, preparation, and storage procedures
โ€” Ensure access to safe and potable water at all times
โ€” Implement an adequate waste disposal system
โ€” Maintain clean kitchen and dining areas, functional restrooms, and proper ventilation
โ€” Submit to regular sanitation inspections conducted by the Department of Health (DOH) or the Local Government Unit (LGU)
The Sanitary Permit must be visibly posted within the establishment. If you do not see one displayed, that is worth noting.
๐Ÿ“Œ 2. Republic Act No. 10611 โ€” Food Safety Act of 2013
This landmark legislation strengthened the country's food safety regulatory system with a "farm-to-fork" approach โ€” meaning food safety is monitored from production all the way to the consumer's plate.
Under RA 10611:
โ€” Restaurants and catering services must comply with strict food safety standards overseen by the Food and Drug Administration (FDA) and respective LGUs
โ€” Establishments are required to prevent biological, chemical, and physical contamination of food
โ€” Local government units bear primary responsibility for food safety enforcement within their jurisdiction โ€” covering public eating places, wet markets, school canteens, and catering establishments
โ€” Violations can result in serious administrative and criminal sanctions

โš ๏ธ ALERTO, KAPWA PILIPINO! QR CODE SCAM AT DIGITAL PAYMENT FRAUD โ€” ALAM MO NA BA ITO?
Sa panahon ngayon, halos lahat na tayo ay gumagamit ng QR codes para magbayad โ€” sa palengke, sa tindahan, sa online transactions. Maginhawa, mabilis, madali. Pero kasabay ng convenience na ito? Isang bagong paraan ng pagnanakaw.
ANO ANG QR CODE / PAYMENT FRAUD?
Ito ay isang uri ng digital crime kung saan ginagamit ng mga scammer ang QR codes para magnakaw ng pera o personal na impormasyon. Hindi mo ito agad makikita sa mata โ€” kaya lalo itong mapanganib.
Narito ang mga pinakakaraniwang paraan:
๐Ÿ”ด QR Sticker Replacement โ€” Naglalagay ang mga scammer ng pekeng QR sticker sa ibabaw ng QR ng isang tindahan. Akala mo babayaran mo ang merchant, sa scammer pala napupunta ang pera mo.
๐Ÿ”ด Fake Refund/Verification QR โ€” Nagpapadala sila ng QR at sinasabi na para sa "refund" o "verification." Kapag na-scan mo, ikaw na ang nagpadala ng pera sa kanila.
๐Ÿ”ด Phishing via QR โ€” Dine-direct ka sa isang pekeng website na kamukha ng iyong GCash, Maya, o online banking app. Kapag nag-enter ka ng PIN o OTP, agad nilang kinukuha ang account mo.
๐Ÿ”ด Online Selling Scam โ€” Hihilingin nila sa iyo na mag-scan ng QR bilang "reservation fee" o "shipping fee." Bayad ka nang bayad, tapos biglang mawawala ang seller.
ANG SITWASYON SA PILIPINAS
Ayon sa Bangko Sentral ng Pilipinas (BSP), ang social engineering, account takeovers, at identity theft ay bumubuo ng 76% ng total fraud losses sa ating bansa. Bukod dito, itinatampok ng mga eksperto na ang pinaka-vulnerable sa QR scams ay ang mga MSME o maliliit na negosyo โ€” yung mga nagpi-print lang ng kanilang QR code at hindi regular nagpapalit. Nire-record din ng Pilipinas ang 58.6 million QR transactions noong 2023 pa lamang โ€” at patuloy itong lumalaki.
ANO ANG SINASABI NG BATAS?
Hindi biro ang digital fraud sa mata ng ating batas:
โš–๏ธ Republic Act No. 10175 (Cybercrime Prevention Act of 2012) โ€” Ang computer-related fraud ay may kaparusahang pagkabilanggo (prision mayor) at multa na โ‚ฑ200,000 hanggang โ‚ฑ1,000,000, o pareho. Higit pa rito, ang parusang itinatadhana ay isang degree na mas mataas kaysa sa katumbas nitong krimen sa Revised Penal Code.
โš–๏ธ Republic Act No. 12010 (Anti-Financial Account Scamming Act o AFASA) โ€” Bagong batas na nilagdaan ni Pangulong Marcos na nagbabawal at nagpaparusa sa money mule activities, social engineering schemes, at economic sabotage. Binibigyan din nito ng kapangyarihan ang BSP na mag-imbestiga ng mga e-wallet at bank accounts na sangkot sa fraud.
โš–๏ธ Republic Act No. 8792 (Electronic Commerce Act) โ€” Nagbibigay ng legal na proteksyon sa mga digital na transaksyon at nagtatakda ng pananagutan para sa mga fraudulent online activities.
Maaari kang magsumbong sa: PNP Anti-Cybercrime Group (ACG), NBI Cybercrime Division, at direkta sa iyong bangko o e-wallet provider.
PAANO KA MAPOPROTEKTAHAN?
โœ… Laging i-verify ang QR code ng merchant bago mag-scan. Tingnan kung may sticker na nakapatong sa ibabaw nito.
โœ… Huwag mag-scan ng QR mula sa mga estranghero o kahina-hinalang mensahe online.
โœ… Huwag maniwala sa "free money," "refund," o "prize" na nangangailangan ng QR scan.
โœ… I-double-check ang pangalan ng tatanggap bago i-confirm ang anumang payment.
โœ… Huwag ibahagi ang iyong OTP, PIN, o password โ€” kahino pa.
โœ… I-enable ang transaction notifications sa iyong e-wallet o banking app para agad mong malaman kung may suspicious na aktibidad.
ANG DIGITAL WORLD AY PUNO NG OPORTUNIDAD โ€” PERO PUNO RIN NG PANGANIB KUNG HINDI TAYO MAINGAT.
Huwag hayaang ang convenience ay maging daan ng scammers para gawing biktima tayo. Ibahagi ninyo ito โ€” baka may mapaligtas kayong pera, o mas mahalaga pa, mapaligtas kayong pagkakamali.
