"The cheapest case is the one you and your business never have to face."

Many collection disputes happen because money was released, goods were delivered, or services were rendered without clear written terms.

Later, the business asks:

How do we collect?
Was there a due date?
Was there interest or penalty?
Who received the money or goods?
Was the person authorized to transact?
What proof do we have?
Can we send a demand letter?
Can we file a case?

Without proper documentation, collection becomes harder, slower, and more expensive.

Corporate retainer counsel can help prepare promissory notes, acknowledgment receipts, loan agreements, demand letters, undertakings, settlement agreements, security documents, and payment arrangements.

It is not enough that someone owes the business.

The business must also be able to prove the obligation.

Before releasing money, document the obligation.

In People v. Mendez, the Supreme Court En Banc ruled that a prior deficiency tax assessment is not required before the government may seek payment of unpaid taxes in the same criminal tax case.

Mendez was charged with violating Section 255 of the National Internal Revenue Code for willfully failing to file his 2002 income tax return and willfully failing to supply correct and accurate information in his 2003 income tax return.

The Court explained that once a criminal action for violation of the tax laws is filed, the corresponding action for the collection of taxes and penalties is deemed instituted with it. A prior assessment is not required, and a final assessment is not a precondition for the court to determine the accused’s liability for unpaid taxes.

However, the amount claimed by the government is not automatically awarded. The prosecution must prove the accused’s guilt beyond reasonable doubt and establish the amount of unpaid taxes through competent evidence.

The Supreme Court affirmed Mendez’s conviction but remanded the cases to the CTA Division to determine his unpaid taxes and penalties based on the evidence.

"The cheapest case is the one you and your business never have to face."

Many business owners rely on trust.

“Sabot ra mi.”
“Kaila ra man mi.”
“Bayaran ra lagi na.”
“Okay ra, verbal agreement lang sa.”

But when money, services, property, employees, suppliers, investors, or business obligations are involved, verbal agreements can become risky.

The issue is not only whether there was an agreement.

The bigger problem is proving the exact terms.

How much is due?
When should payment be made?
What happens in case of delay?
Who is liable for loss or damage?
What if the other party denies the agreement?
What if the business relationship breaks down?

Corporate retainer counsel can help prepare proper documents before problems arise.

For business transactions, trust is good.

But documentation protects the business.

In business, what is clear in writing is easier to enforce.

Not every bouncing check amounts to estafa.

To sustain a conviction under Article 315(2)(d) of the Revised Penal Code, it must be proven that the accused postdated or issued the check to induce the complainant to part with money or property, despite knowing at the time that there were insufficient funds to cover it. The complainant must also have suffered damage as a result.

A dishonored check may give rise to liability under B.P. Blg. 22. However, estafa requires proof of deceit and damage. Estafa is a crime against property, while a violation of B.P. Blg. 22 is principally an offense against public interest.

“The cheapest case is the one you and your business never have to face.”

Many business disputes come from contracts that were signed too quickly.

The problem usually appears later.

The payment terms are unclear.
The penalty clause is one-sided.
The obligations are incomplete.
The exit clause is unfavorable.
The deposit is not properly defined.
The representative has no clear authority.
The written contract does not match what was verbally agreed.

By the time the dispute happens, the signed contract will usually control.

Corporate retainer counsel can review contracts before the business signs them, including leases, service agreements, supplier contracts, construction agreements, loan documents, employment-related documents, investment arrangements, and settlement agreements.

A good contract does not only record the agreement.

It protects the business when the relationship fails.

Before you sign, let counsel review.

"The cheapest case is the one you and your business never have to face."

Corporate retainer counsel is not only for contracts and court cases.

One important role of counsel is to guide the company in HR and administrative decisions before management takes action.

Counsel can help review:

Show cause notices.
Notices to explain.
Preventive suspension.
Floating status.
Transfer or reassignment.
Administrative investigations.
Notices of decision.
Abandonment issues.
Termination documents.
Clearance and final pay concerns.

This is important because many labor cases are not lost simply because the employer had no reason.

They are lost because the process was mishandled.

A company may have a valid ground to discipline or terminate an employee, but the action must still be supported by evidence, documentation, and due process.

Corporate retainer counsel helps management make decisions that are not only practical, but legally defensible.

“The cheapest case is the one you and your business never have to face."

Some business owners see corporate retainer counsel as an added expense.

But the cost of early legal guidance is often much lower than the cost of litigation, labor awards, penalties, unpaid obligations, bad contracts, business disruption, and reputational damage.

The value of retainer counsel is continuity.

Your lawyer becomes familiar with your business, contracts, employees, suppliers, clients, internal practices, recurring transactions, and common risks.

Because of this, legal advice becomes faster, more practical, and better aligned with how your business actually operates.

A labor complaint, demand letter, tax assessment, government notice, or court case should not be the first time a business talks to a lawyer.

For corporations, entrepreneurs, and business owners, corporate retainer counsel is not just for emergencies.

It is part of responsible business protection.

Protect your business before the problem happens.

"The cheapest case is the one you and your business never have to face."

Many employers consult a lawyer only when a labor complaint has already been filed.

By that time, the company is no longer preventing the problem. It is already defending itself.

This is common in practice. Some business owners seek legal help only when they are already facing complaints for illegal dismissal, constructive dismissal, money claims, unpaid wages, backwages, damages, separation pay, or attorney’s fees.

The cost is not limited to legal fees.

Labor cases can also involve monetary awards, settlement costs, management time, operational disruption, employee morale issues, and reputational risk.

Even when the employer has a valid reason, failure to observe due process, proper notices, documentation, and procedure may still result in liability.

This is why corporate retainer counsel matters.

Before terminating, suspending, transferring, disciplining, or placing an employee on floating status, the company should first seek legal guidance.

One wrong HR decision can cost more than preventive legal advice.

"The cheapest case is the one you and your business never have to face."

For corporations and business owners, legal problems usually do not begin in court.

They begin with ordinary business decisions.

A contract signed without review.
Money released without documentation.
An employee dismissed without proper procedure.
A lease entered into without checking the penalties.
A supplier agreement based only on trust.
A business partner accepted without clear written terms.

At first, these decisions may seem simple. But when they are unclear, undocumented, or legally weak, they can later become expensive disputes.

This is why every serious business should consider having corporate retainer counsel.

Corporate retainer counsel is not only for filing cases. More importantly, counsel helps the business prevent legal problems before they become full-blown disputes.

For businesses, prevention is not just cheaper.

It is smarter.
