CONTRACT TO SELL OR DEED OF ABSOLUTE SALE?

They are not interchangeable.

In a Contract to Sell, the seller generally reserves ownership until the buyer fulfills an agreed condition, commonly full payment of the purchase price.

A Deed of Absolute Sale generally documents a completed sale. However, the legal effect of any document depends on its complete terms and the parties’ true agreement—not merely its title.

Before signing, clarify:

• When ownership will transfer
• When possession will be delivered
• When the title will be released
• Who will process and pay the taxes
• What happens if either party defaults
• Whether payments may be refunded or forfeited

A properly structured agreement protects both the buyer and the seller.

🚗 SOLD OR PURCHASED A VEHICLE?

Signing a Deed of Sale does not automatically update the registered ownership with the LTO.

The parties should promptly complete the transfer and retain copies of:

✔ The notarized Deed of Sale
✔ Official receipt and certificate of registration
✔ Valid identification documents
✔ Required clearances and inspection records
✔ Proof that the transaction was submitted to the LTO

Failure to update the registration may create difficulties involving traffic violations, accidents, insurance claims and future transfers.

The seller should not simply surrender the vehicle and assume the transaction is finished. The buyer should confirm that the registration has been transferred.

Before accepting or challenging an HOA restriction, examine:

✔ The title and annotated restrictions
✔ The Deed of Restrictions
✔ The association’s registered bylaws
✔ Validly adopted rules and resolutions
✔ Notices or approvals issued to the homeowner
✔ Whether the rule is being applied consistently

Homeownership does not necessarily exempt an owner from valid subdivision or association restrictions. At the same time, enforcement should have a proper legal and documentary basis.

Do not rely solely on verbal instructions from an officer or neighbour. Request the applicable rule in writing.

✔ Request the blocking or replacement of the card
✔ Dispute the transaction in writing
✔ Preserve the OTP message, screenshots, and transaction details
✔ Record complaint reference numbers and follow-up communications
✔ Report the fraudulent website or account when appropriate

If the bank does not satisfactorily resolve the complaint, the consumer may explore the Bangko Sentral ng Pilipinas Consumer Assistance Mechanism after first raising the matter with the financial institution.

Speed and documentation are both important.

A business may have stopped earning or operating, but its registrations may remain active with the BIR, city or municipality, and SEC.

A proper closure may require:
✔ Filing of final or outstanding returns
✔ Settlement of pending tax and permit obligations
✔ Cancellation of BIR registration
✔ Retirement of the local business permit
✔ SEC dissolution or closure filings, when applicable

Do not simply abandon the registrations. Unresolved compliance obligations may continue to cause problems even after the business has stopped operating.

An affidavit of loss alone does not produce a replacement title.

The registered owner should promptly notify the proper Registry of Deeds under oath. A verified petition for the issuance of a replacement owner’s duplicate may then be filed before the proper court.

The procedure is different when:

✔ The owner’s duplicate was genuinely lost or destroyed
✔ Another person is withholding the title
✔ The original title on file with the Registry of Deeds was destroyed
Determining what was actually lost is essential before choosing the remedy.
