BVI Economic Substance Test for BVI Companies

To assist owners of British Virgin Islands (BVI) companies in complying with the annual Economic Substance reporting obligation (Companies and Limited Partnership) Act, 2018 (“ESA Act”), an online questionnaire.

This online questionnaire provides our clients with a reliable and efficient solution to conduct a self-assessment for each entity, thus confirming whether it is within the scope of the ES legislation.

Further to recent amendments implemented by the competent authority to collect additional information, below follows the new requirements to be confirmed by all BVI entities in respect of their economic substance declaration:

“TIN” means Taxpayer Identification Number (or functional equivalent in the absence of a Taxpayer Identification Number).
“Multinational Enterprises (MNE) Group” means any Group that— (a) includes two or more enterprises the tax residence for which is in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction; and (b) is not an Excluded MNE Group;
“Excluded MNE Group” means, with respect to any Fiscal Year of the Group, a Group having total consolidated group revenue of less than 750 million Euro during the Fiscal Year immediately preceding the Reporting Fiscal Year as reflected in its Consolidated Financial Statements for such preceding Fiscal Year;
“Immediate Parent” An entity that owns 25% or more voting interests in the corporate and legal entity.
“Ultimate Parent” An entity that owns directly or indirectly sufficient interest in the corporate and legal entity that is required to prepare financial statements under accounting principals applied in its jurisdiction of residence, or if required because it trades on a public securities exchange and there is no other entity that owns directly or indirectly interest as described above in the jurisdiction of residence.

Con el propósito de asistir a accionistas de compañías de Islas Virgenes Britanicas (BVI) en el cumplimiento de la obligación de reporte anual de acuerdo a la Ley de Sustancia Económica (Compañías y Sociedad Limitada), 2018 (“Ley ESA”), existe un cuestionario en línea.

Este cuestionario en línea provee a nuestros clientes una solución confiable y eficiente para realizar una autoevaluación para cada entidad, para así confirmar, si ésta se encuentra dentro del alcance de la legislación ESA.

En base a las recientes enmiendas implementadas por la autoridad competente con el fin de recopilar información adicional, a continuación se presentan los nuevos requisitos que deben ser confirmados por todas las entidades de las Islas Vírgenes Británicas (BVI, por sus siglas en inglés) en relación a su declaración de sustancia económica:

"TIN" significa Número de Identificación del Contribuyente (o su equivalente funcional en ausencia de un Número de Identificación del Contribuyente).
"Grupo de Empresas Multinacionales (MNE)" se refiere a cualquier grupo que: (a) incluya dos o más empresas cuya residencia fiscal se encuentre en jurisdicciones diferentes, o incluya una empresa con residencia fiscal en una sola jurisdicción y que esté sujeta a impuestos sobre las actividades comerciales realizadas a través del lugar fijo donde realiza sus negocios (de forma completa o parcial) en otro país; y (b) no sea un Grupo MNE Excluido.
"Grupo MNE Excluido" se refiere, sobre cualquier año fiscal del grupo, a un grupo que tenga ingresos totales consolidados de menos de 750 millones de euros durante el año fiscal inmediatamente anterior al año fiscal de reporte, según se refleje en los Estados Financieros Consolidados de dicho período.
"Entidad Controladora Inmediata (Immediate Parent Entity)" se refiere a una entidad que posee el 25% o más de los intereses de voto en la entidad corporativa y legal.
"Entidad Controladora Definitiva (Ultimate Parent Entity)" se refiere a una entidad que posee directa o indirectamente un interés suficiente en la entidad corporativa y legal y que está obligada a preparar estados financieros de acuerdo con los principios contables aplicados en su jurisdicción de residencia, o si es requerido porque cotiza en una bolsa de valores pública y no hay otra entidad que posea directa o indirectamente un interés como se describe anteriormente en la jurisdicción de residencia.

Le invitamos a completar su autoevaluación lo antes posible y le recordamos que la fecha límite para completar la autoevaluación es seis meses después de finalizado el período financiero de la entidad.

Lombardi Aguilar Group served as counsel to a U.S. corporation in international arbitration involving a claim against a Colombian owner of a mining exploration concession. The dispute related to the failure to transfer title of the concession.

CHANGES TO BELIZE COMPANIES



Please be advised about the launch of the Online Business Registry System (OBRS). On this date, we will commence the re-registration of companies; to re-register an existing entity, the renewal fee for 2023 must be paid.

The Business Companies Act was passed in July 2022; therefore, the re-registration of an existing Business Entity is mandatory.
Upon re-registration, a Business Entity (BE) will receive a unique 9-digit business entity number and E-certificate. The former BE registration number will be displayed on the E-certificate along with the original registration date.
No services will be rendered for a company which has not been re-registered (the services include but is not limited to good standings, dissolutions, change in name, apostilles, discontinuance, etc).
Re-registration is free of cost for the first year (November 28, 2022 – November 28, 2023) ONLY.
Attached, herewith, is a copy of our re-registration form, which must be completed for all existing entities that will be re-registered. It is imperative to note that all information on this form is confidential and will not be accessible to the public.
