Legal Tip Tuesday! Do you think you know the difference between an Employee and a Contractor? Here’s an easy tip, look at the contract in place. Is it an employment agreement (contract of services) or an independent contractor agreement (contract for services)? But unfortunately, it’s not always that simple.

The contract between the parties is only one factor to be considered when looking at whether a person is truly an Employee or Contractor. And what happens if there is no contract in place? Well… the Courts have developed a number of legal tests to determine the “true nature” or the relationship. Let’s take a look at the “Intention Test”.

As well as the written contract, the Courts will look at whether the person is being paid holiday and leave entitlements. If they are, then this is a good indication that the true nature of the relationship is that of an employee and employer. Though there are still many other factors to also be considered. Legal Tip Tuesday! Interested in buying a business but not sure where to start? One misconception is that you have to sign a formal contract for the sale and purchase of the business straight away. You can, but it’s common to explore a business opportunity by simply entering into a confidentiality agreement (a.k.a Non-Disclosure Agreement (“NDA”).

This means that a vendor can provide you with sensitive information about the business knowing it won’t go public or be used to compete with them. As a purchaser, you can have a closer look at the business and negotiate the price. An NDA can be one-way (where only the vendor is giving the sensitive information) or mutual (where both parties are providing information). Do you know about the new sick leave entitlements for New Zealand employees? From late July 2021 to late July 2022, employees will see their sick leave entitlements increase from 5 days to 10 days each entitlement year. These changes come as a result of the COVID-19 pandemic. The Government want to encourage people to have adequate sick leave and discourage people from “toughing it out” by coming into work and potentially getting others sick.

Legal Tip Tuesday! As you may have heard, the bright-line test has been extended from 5 years to 10 years. It applies to all residential property, other than a main dwelling and if a property is sold within 10 years of owning it, any capital gain is taxable. This means that when parties separate, the bright-line test does not apply to the main family home, but it may apply to any investment properties or a holiday home.
