“NA LAND I BUY ABI NA GBESE?”

Purchasing a piece of land isn’t just about getting a willing seller and a willing buyer. There are steps you must take to avoid legal issues or/and outright loss of investment

1. Conduct Due Diligence (Your lawyer is able to get this done). Accredited Agents of the Corporate Affairs Commission (CAC) are able to conduct search and report all/any red flag(s) 🚩 (Your lawyer is your best bet here. Search would be conducted at Lands Registry and Probate Registry

2. After negotiating your price, mode of payment, nature of vendor’s title, special conditions (if any), prepare your Contract of Sale (Your lawyer serves your interest best)

3. Prepare Deed of Assignment. All original title must be handed over by the vendor to the purchaser. Where the said property is developed, all access pass (keys etc) must be handed over to the assignee (purchaser).

4. To perfect your title with the State, your lawyer applies on your behalf for Governor’s consent, payment of stamp duty and registration of assignment at the Lands Registry.

PROTECTING YOUR BRAND (LEGAL)

Who are the Stakeholders? What must you expect?

1. AGENTS: Lawyers & Trained Practitioners

2. INSTITUTION: Federal Ministry of Industry, Trade and Investments (Trademarks, Patents and Designs Registry)

3. APPLICANT: Owner of the trademark who is required to appoint an accredited agent to conduct the registration on his behalf through a power of attorney in the prescribed form.

4. AVAILABILITY SEARCH: Search at the Registry. This is to determine whether the mark is available under the relevant class (It is not in conflict with any existing trademark under the relevant class)

5. ACKNOWLEDGMENT – After the accredited agent fills the relevant statutory application form. Agent inputs the personal information of the proprietor, logo or mark, and pays the required fees. Registry issues an acknowledgement form to the accredited agent confirming receipt of the application.

6. ACCEPTANCE: Trademark will be examined by the Registry to ascertain its distinctiveness and ensure that it is not in conflict with any previously registered trademark. Where it is considered satisfactory, acceptance form is issued.

7. PUBLICATION OF THE TRADEMARK: Upon issuance of the Acceptance Form, trademark application is published in the Trademarks Journal which serves as a public notification to parties who may have reservations on the item listed.

8. OBJECTIONS: Objections (if any) must be filed with the Registry within 2 months of the publication

9. ISSUANCE OF CERTIFICATE OF REGISTRATION: Applicant is issued a Certificate where no objection is filed within the stipulated time (or objection is withdrawn)

10: VALIDITY: Trademark registration is valid for a period of 7 years at the first instance, and subsequently renewable every 14 years.

11. EFFECT: Registration of Trademark confers registered holders with the right to enforce same against others. This is not just a shield, it is a sword to businesses!
