This is because of the relationship 🀝 that both parties share and the influence that the superior party is believed to wield over the actions of the subordinate party.

Vicarious liability usually applies within the context of an employer-employee relationship or a principal-agent relationship. πŸ‘₯

So, an employer or a principal might be held vicariously liable for an accident caused by a negligent employee driving a company vehicle in the course of his official duties or agent driving a vehicle being used to perform the wishes of the principal.πŸ‘¨πŸ½β€βš–οΈ

πŸ—£οΈHowever, there are exceptions to this principle.

For example, if an employee's or agent's actions are completely outside the scope of their employment or contract, the employer or principal might not be vicariously liable.

Latin for "beyond the powers," it means that an action or decision is invalid if it is taken by a corporation (company) or public body without the legal backing to do so, based on the corporation's founding documents or public body's enabling laws.

Actions deemed ultra vires are considered unenforceable and have no legal effect. ❌❌

So, if the officers of a company act beyond the scope of powers outlined in the company's founding documents or government officials take actions that are not enabled by the relevant law(s), such acts will be regarded as ultra vires.
