A few years ago, two startups launched in Nigeria’s fast-growing energy space.

The first focused entirely on speed rapid expansion, quick contracts, and aggressive market entry. Regulatory compliance was treated as an afterthought. CAC filings were delayed, tax obligations overlooked, and sector licensing requirements under the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) were only partially addressed.

The second startup took a different approach. Before scaling, they ensured full incorporation with the Corporate Affairs Commission (CAC), structured their tax compliance with the Federal Inland Revenue Service (FIRS), and aligned operations with regulatory expectations across the energy value chain.

They didn’t stop there.

They implemented a data protection framework in line with the Nigeria Data Protection Commission (NDPC), ensuring customer and partner data were lawfully processed and securely managed. When they expanded into real estate for operational sites, they conducted proper title searches and complied with requirements under the Land Use Act, avoiding disputes that commonly stall projects.

Then reality hit.

A routine regulatory audit exposed gaps in the first company’s compliance structure. Operations were halted. Penalties followed. Investor confidence disappeared almost overnight.

The second company? They passed inspections seamlessly. Investors took notice. What looked like “slower growth” at the start became sustainable expansion with fewer disruptions and stronger credibility.

The lesson is simple: in Nigeria, regulatory compliance is not a delay tactic, it’s a growth strategy.

A founder once told me, “We signed the contract with the " ABX firm" and somehow still lost our edge.”

Here’s what happened.

Two years ago, a fast-growing tech company engaged a vendor to help optimize a core algorithm. The contract was well-drafted on the surface. It had confidentiality clauses, IP provisions, and even a “trade secrets” section. Everyone felt protected.

But six months after the engagement ended, a competitor launched a suspiciously similar solution.

The founder was furious. “We had an NDA. This is a breach, right?”

Not quite.

When I reviewed the agreement, the issue became clear:
The contract mentioned trade secrets, but didn’t operationalize them.

There was:

No clear definition of what constituted a trade secret in their context
No obligation for the vendor to limit access internally (“need-to-know” wasn’t addressed)
No audit or tracking mechanism for how sensitive information was handled
And critically, no post-termination restrictions tailored to trade secret protection

In legal terms, they had protection in theory, but not in practice.

Trade secrets aren’t like other IPs. You don’t register them. You protect them by how you treat them. And contracts must reflect that reality.

So what should they have done?

A strong trade secret clause isn’t just boilerplate. It should:
✔ Clearly identify protected information (with examples tied to the business)
✔ Impose strict use and access limitations
✔ Require specific security measures
✔ Include survival and enforcement mechanisms that actually deter misuse

The hard truth: If your contract treats trade secrets like just another checkbox, don’t be surprised when they slip through the cracks.

Because in the end, the law won’t just ask what you wrote, it will ask what you did to protect it.

If you’re relying on contracts to safeguard your competitive edge, it’s worth asking:
Are you truly protected, or just reassured?

Every week, more entrepreneurs and small business owners are being misled by individuals or agencies issuing unofficial, and sometimes completely fabricated, “trademark certificates.” These documents often look legitimate at a glance, but they don’t provide any real legal protection.

Here’s the reality:

A trademark is not secured by a fancy certificate alone. It’s granted through a recognized government authority after a proper application, review, and approval process.

And importantly , it takes time.

In Nigeria, a legitimate trademark registration typically takes 6 to 18 months (180 to 540 days) to be completed, including examination and a mandatory opposition period. Not 48 hours. Not 1 week.

Anything outside that system should raise serious red flags.

The consequences of relying on fake certificates can be costly:
• False sense of brand protection

Combating corruption in Nigeria used to be the exclusive duty of the police through
the provisions of the Criminal Act and Penal Code. Given the procedural challenges
experienced in implementation, corruption cases achieved limited success and the
financial system provided a liberal platform for it to thrive. However, given the
adverse emerging trends in corruption and criminal activities, the embedded
provisions became grossly inadequate to deal with the issues. This then
encouraged money laundering to proceed largely unchecked.
Nigeria ratified The United Nations Convention against Corruption (UNCAC) in
December 2004 and, since then has put in place specialized anti-corruption
structures and institutions for the prosecution, adjudication and sanctions in
corruption-related cases. Today, Nigeria has three major anti-corruption agencies:

(i) Independent Corrupt Practices Commission (ICPC)
(ii) Economic and Financial Crimes Commission (EFCC)
(iii) Code of Conduct Bureau/Code of Conduct Tribunal (CCB/CCT)
