Today, the 27th of May, Nigeria joins the world in celebrating Children’s Day. A day set aside to honour the dignity, potential, and rights of every child.

At PRINCESTON Legal Practitioners, this day carries a particular resonance for us. A director built his company over nine years. When the business needed a loan, the bank asked him to sign a personal guarantee. He signed, believing, as most Nigerian directors believe, that it was a formality. It was not. When the company hit difficulties, the bank came, not for the company. For him. His properties. His savings. His personal accounts. Everything he had built separately from the business he had guaranteed.

The Supreme Court confirmed in Chami v. UBA Plc that a guarantor becomes personally liable for the said debt the moment the principal debtor defaults. Co-extensive liability means the bank does not need to exhaust its remedies against the company first. It can come for you directly.

You delivered the work. You sent the invoice. You followed up. Still nothing.
Most Nigerian business owners at this point send another email. Or worse, they write off the debt entirely and absorb a loss the law never required them to accept.

What most people don't know is that Nigerian law gives you a structured set of legal tools to compel payment from a properly drafted demand letter that stops debtors in their tracks, to garnishee orders that go directly to your client's bank account, to a winding-up petition that can threaten the very existence of a debtor company.

There is also a six-year window within which you must act. Miss it, and even a genuine, documented, undisputed debt becomes unrecoverable in court.

We are lawyers. We know the Companies and Allied Matters Act 2020 inside out. And yet, the Corporate Affairs Commission, the very body responsible for business registration in Nigeria, took my money, broke its own portal, refused to complete my registration, and then told me, through a staff member at its own complaint desk, to simply “pay again.”

So We did what any lawyer who believes in the rule of law should do. We filed an Originating Summons against the Corporate Affairs Commission in the Federal High Court, Abuja Division. And We are sharing the full legal basis of that action here, because what happened to me is happening to thousands of Nigerians every day, and someone has to say enough.

When a government agency takes your money and gives you nothing but a broken portal and a dismissive “pay again,” the law has something to say about that. And we intend to make it say it loudly.
