顶下咖啡馆4个月被逼清场 36岁男子120k血本无归 现身说法提醒创业者谨慎签约

一名36岁男子打工十余年,为求翻身创业,数月前以12万令吉“出顶”方式接手一间咖啡馆(café),原以为人生即将升级,岂料经营仅4个月,因单位被转售遭新业主收回,被迫清场并承担还原费用,血本无归。他以“过来人”身份匿名投稿,提醒大众顶让生意前务必审慎查阅租约与法律文件。

事主透露,自己工作多年,一直希望创业改变现状。几个月前,经朋友介绍顶下一间地段佳、装修齐全、设备完善、客源稳定的咖啡馆。他动用多年积蓄,并向家人借款,筹足12万令吉接手生意。

“签了简单合约,转了钱,当下真的觉得人生要翻身了。”

事主表示,接手初期生意尚算顺利,每月盈利约3千至5千令吉。虽然利润不高,但至少看见回本希望,也计划未来扩大经营。

然而第四个月,原单位业主突然通知,该店铺已出售,新业主要收回单位。

“对方一句‘合约是跟旧业主签的,不是跟新屋主’,我当场傻掉。”

更令他震惊的是,新业主还要求他将店面恢复原状,包括拆除装修及柜台等设备,意味着他不仅损失顶让费,还需额外承担还原成本。

事主事后翻查合约才发现,当初签署的顶让协议条款简单,原租约仅剩一年,且无优先续约权,也未注明业主同意转让及保障条款。

“我当时只看盈利,没有看风险。我以为自己在创业,其实只是租别人的梦。”

如今,12万令吉几乎付诸东流,储蓄清零,还欠家人借款。几个月的盈利远不足以填补损失。

受访法律界人士指出,所谓“出顶”或“顶让”生意,实质多为资产与经营权转让,并不等同拥有产业产权。若租约保障不足,一旦业权更替或租约届满,经营者可能面临被迫搬迁风险。建议有意接手生意者:

• 查阅完整租约内容与剩余年限
• 确认是否拥有优先续约权
• 确保业主书面同意转让
• 在协议中列明保障条款
• 必要时咨询律师审核文件

事主坦言,失败并非完全因为运气,而是自己过于急于翻身,忽略合约风险。

“创业不是只有勇气,还要清醒。”

他希望透过自身经历,提醒准备顶让生意的民众多一份谨慎,避免重蹈覆辙。

本报也提醒,近年餐饮顶让市场活跃,部分业者因资金周转或租约问题出顶,潜在风险不容忽视。创业固然值得鼓励,但风险评估与法律保障同样关键。
