顶下咖啡馆4个月被逼清场 36岁男子120k血本无归 现身说法提醒创业者谨慎签约

一名36岁男子打工十余年，为求翻身创业，数月前以12万令吉“出顶”方式接手一间咖啡馆（café），原以为人生即将升级，岂料经营仅4个月，因单位被转售遭新业主收回，被迫清场并承担还原费用，血本无归。他以“过来人”身份匿名投稿，提醒大众顶让生意前务必审慎查阅租约与法律文件。

事主透露，自己工作多年，一直希望创业改变现状。几个月前，经朋友介绍顶下一间地段佳、装修齐全、设备完善、客源稳定的咖啡馆。他动用多年积蓄，并向家人借款，筹足12万令吉接手生意。

“签了简单合约，转了钱，当下真的觉得人生要翻身了。”

事主表示，接手初期生意尚算顺利，每月盈利约3千至5千令吉。虽然利润不高，但至少看见回本希望，也计划未来扩大经营。

然而第四个月，原单位业主突然通知，该店铺已出售，新业主要收回单位。

“对方一句‘合约是跟旧业主签的，不是跟新屋主’，我当场傻掉。”

更令他震惊的是，新业主还要求他将店面恢复原状，包括拆除装修及柜台等设备，意味着他不仅损失顶让费，还需额外承担还原成本。

事主事后翻查合约才发现，当初签署的顶让协议条款简单，原租约仅剩一年，且无优先续约权，也未注明业主同意转让及保障条款。

“我当时只看盈利，没有看风险。我以为自己在创业，其实只是租别人的梦。”

如今，12万令吉几乎付诸东流，储蓄清零，还欠家人借款。几个月的盈利远不足以填补损失。

受访法律界人士指出，所谓“出顶”或“顶让”生意，实质多为资产与经营权转让，并不等同拥有产业产权。若租约保障不足，一旦业权更替或租约届满，经营者可能面临被迫搬迁风险。建议有意接手生意者：

• 查阅完整租约内容与剩余年限
• 确认是否拥有优先续约权
• 确保业主书面同意转让
• 在协议中列明保障条款
• 必要时咨询律师审核文件

事主坦言，失败并非完全因为运气，而是自己过于急于翻身，忽略合约风险。

“创业不是只有勇气，还要清醒。”

他希望透过自身经历，提醒准备顶让生意的民众多一份谨慎，避免重蹈覆辙。

本报也提醒，近年餐饮顶让市场活跃，部分业者因资金周转或租约问题出顶，潜在风险不容忽视。创业固然值得鼓励，但风险评估与法律保障同样关键。
