MOU is only an understanding or expectation of responsibilities / obligations of parties towards achieving goal / purpose set up in the MOU.

If either party is not executing his/her responsibilities, no legal consequences will occur because MOU IS NOT LEGALLY BINDING except if it specifically states so in the MOU.

Whilst AGREEMENT does bind parties legally.

Usually MOU is created as a preamble document before the actual agreement is drafted and executed by parties.
