On 3 June 2014, Donovan & Ho officially opened for business. We have since expanded our office, multiplied our headcount, and have served more than 650 clients from over 20 countries. The firm was founded with the goal of re-energising the practice of law with strategies that solve the right problems… and save time and money for our clients along the way. We understand that the demands of the modern world mean more work and less time, and unlike traditional law firms we acknowledge the need to constantly innovate. We have adopted state of the art technology in document management and project management. In these unprecedented times, we know that if we work faster and more efficiently, our clients benefit. As part of our ongoing commitment to make legal knowledge accessible, we have also become best known for our efforts in educating the public on legal issues. We have more than 400 legal articles available for free on our website, read by more than a million viewers over the world. We have since grown this initiative to take on new ways to share what we know: our series now shares valuable legal information through 2 minute videos and we collaborated with partners like Lexis Nexis to establish a COVID-19 resource hub for employment law issues. We are dedicated to promoting awareness on common legal issues, and this is reflected in our work for our clients. We take pride in knowing that our legal services are easy to understand and business friendly. This year, our firm trip took us to Danang, Vietnam!🇻🇳

From exploring Hoi An, wandering through the lantern-lit streets, learning to make Vietnamese coffee, enjoying our meals together and, of course, taking way too many photos, it was a really good few days away from our usual office routine🏮☕📸

What we enjoyed most was simply having the time to be together outside of work. It’s always nice to see everyone in a different setting, get to know each other a little better and have a good laugh without worrying about emails, deadlines and meetings for a while.

Thank you to everyone who joined and made the trip such a fun and memorable one. We hope everyone went home with plenty of good memories (and maybe a little too much Vietnamese coffee!).

Director + Employee = Two Hats, One Person. ⚖️

Can a director also be protected as an employee under Malaysia’s Industrial Relations Act 1967?

In a recent Federal Court decision, the Court clarified the concept of “double hatting”, confirming that being removed as a director does not automatically mean being dismissed as an employee, unless the company's actions go further and touch on the person's duties as an employee too.

For employers, especially owner-managed and family businesses, the distinction matters. How roles are structured, documented and terminated can have significant employment law implications.

Can a company unilaterally transfer its employees to another company, and make changes to the employment terms as part of the transfer?

In Rajan a/l K.M. Daniel v Magnum 4D Berhad, an employee was moved to a separate legal entity, given longer hours, handed fieldwork meant for his subordinates, and made to report to a former peer.

The Court was required to consider whether these cumulative changes could be construed as a fundamental breach of contract, justifying constructive dismissal.
