من الورق إلى الرقمنة... كيف أعاد العالم الإلكتروني صياغة مفهوم العقد؟

لطالما ارتبط التعاقد، منذ فجر البشرية، ببُعد المسافة بين الأطراف وتسليم الرسول اللإيجاب والقبول، وهي عملية كانت تستغرق أيامًا أو أسابيع بل أشهرًا أحيانًا. ومع تطور الاتصالات، ثم مع الثورة الرقمية، أصبح التعاقد الإلكتروني اليوم الطريقة الأكثر شيوعًا وانتشارًا عالميًا، إذ يتيح للأطراف من مختلف أنحاء العالم التفاوض وإبرام العقود وتنفيذها إلكترونيًا عبر الشاشات، من دون حضور مادي أو ارتباط بالورق.
ينطلق الكتاب من دراسة أوجه التشابه والاختلاف بين العقود التقليدية والعقود الإلكترونية المنظّمة فى قانون المعاملات الإلكترونية والبيانات ذات الطابع الشخصي رقم 81/2018، من حيث تكوينها وصحّتها وإثباتها وتنفيذها، ويحلّل مدى إمكانية تطبيق أحكام قانون الموجبات والعقود على العقود الإلكترونية، مع إبراز التعديلات اللازمة لمواكبة خصوصيتها، لا سيّما في ما يتعلق بتكوين العقود وصحتها، والاعتراف القانوني بالإثبات والتوقيع الإلكتروني وحجيتهما، وتنفيذ الالتزامات العقدية، وحقوق المستهلك وآليات حمايته.
كما يستعرض الكتاب التعديلات المناسبة لتعزيز التطبيق الفعّال لقانون المعاملات الإلكترونية والبيانات ذات الطابع الشخصي، بما يتوافق مع التشريعات المقارنة والمعايير القانونية الدولية.

"From Paper to Digital: A Comparative Analysis between Traditional Contracts and Electronic Contracts"
Distance contracting is not an entirely new phenomenon. Since the earliest stages of human society, contracts were concluded via messages, with a messenger delivering the offer and acceptance to the designated party, a process that was highly time-consuming, often taking days, weeks, or even months. With the evolution of communications, contracts began to be concluded over phone calls, a form recognized by the Lebanese Code of Obligations and Contracts as contracts concluded among present persons. Today, electronic contracting via the internet has become the most universal and widespread method, allowing parties from all over the world to negotiate, conclude, and execute contracts remotely, without physical presence or reliance on paper.
The book examines the similarities and differences between traditional contracts and electronic contracts recognized under Law No. 81/2018 on Electronic Transactions and Personal Data, in terms of their formation, validity, proof, and ex*****on. It analyzes the extent to which the provisions of the Code of Obligations and Contracts can be applied to electronic contracts, highlighting the adaptations needed to reflect their specific nature; particularly with respect to contract formation and validity, the legal recognition and evidentiary value of electronic evidence and signatures, the ex*****on of contractual obligations, and consumer rights and protection mechanisms.
The book also proposes appropriate amendments to enhance the effective application of the Law on Electronic Transactions and Personal Data, in line with comparative legislation and international legal standards.
