🌊Floods, 😷pandemics,🪖 wars - can these events considered as Force Majeure?

Potentially Yes - if the event is:
🚨beyond the parties ‘control
🚨unforeseeable; and
🚨unavoidable.

⚠️ But Force Majeure is not a free pass.

It may excuse a party from performing its contractual obligations only where:

✔️ the event genuinely prevents performance;
✔️ the Force Majeure clause is properly drafted; and
✔️ the affected party can prove it.

Joined CanCham Urban Development Committee's meetup last Friday for an honest conversation on crisis preparedness — featuring Valentin Hay, whose hotel stayed open and profitable when most shut down.

在柬埔寨：
💠 商业合作中的竞业限制条款：只要合理，通常有效。
💠 劳动合同中的竞业限制条款（尤其是离职后）：在法律上常常会被质疑。
那么，企业到底怎么保护自己的利益才站得住脚？

对于商业合作中的竞业限制，可以合理设定：
📍 时间
📍 地理范围
📍 限制业务范围

对于员工离职后的竞业限制，建议用更稳妥的替代条款：
⛔ 保密条款
⛔ 不挖角条款
⛔ 知识产权保护

🌟 特别提醒：
“竞业限制条款”和“竞争法”是两回事。前者管的是合同约定的限制，后者管的是市场上的不正当竞争行为。

📌 这件事没有“能或不能”的简单答案。关键要看：
• 条款限制了什么
• 限制到什么程度
• 法律是否允许

🗞️VLP Legal Press #30 - Non-Competition Clause

Can your employer or partner stop you from competing?

This is one of the most common questions we receive.

In Cambodia:
💠Business non-compete clauses are generally valid, if they are reasonable
💠Employment non-compete clauses (especially after resignation) are often challenged under the law

So, what can businesses actually protect their interest?

For business non-competition, reasonably limit:
📍 duration
📍geographic scope
📍scope of restricted business activities

For employment non-competition, rely on alternative clauses:
⛔ Confidentiality clauses
⛔ Non-solicitation clauses
⛔ Intellectual property protections

Also note:
Non-competition clauses are different from competition law.
They only govern contractual restrictions and not market conduct.

📌 There is no “yes or no” answer.
It always depends on:
• what the clause restricts
• how far it goes
• whether the law allows it
