From Uncertainty to Direction: Regulator Charts the Path for Transition of NGOs to Public Benefits Organisations

The Public Benefits Organisations Regulatory Authority (PBO Authority) has finally now issued an advisory clarifying as to how NGOs are to transition into the new PBO framework. While NGOs automatically become PBOs by law, the organisations are required to submit their updated documents including revised constitutions, board resolutions and existing certificates of registration to the PBO Authority. The deadline for the transition has been extended to 13th May 2027. NGOs are expected to use this additional time to revise their Constitutions and prepare and file all the required documents with the PBO Authority to ensure compliance with the PBO Act.

The draft Virtual Asset Service Providers Regulations proposed to be issued under Kenya’s Virtual Asset Service Providers Act signal a major step toward formal regulation of the country’s digital asset space. These draft Regulations set out proposed licensing requirements, documentation and compliance standards for entities intending to and/or are providing virtual asset services in Kenya.

The draft Regulations are currently being reviewed by the National Treasury, in consultation with the Central Bank of Kenya and the Capital Markets Authority, following a public participation process during which comments were received from the public in respect of the draft Regulations.
