Who is a Beneficial Owner?

The Companies Act, 2015 defines a "beneficial owner” to mean the natural person who ultimately owns or controls a legal person or arrangements or the natural person on whose behalf a transaction is conducted, and includes those persons who exercise ultimate effective control over a legal person or arrangement.

In simple terms, an individual or group of individuals who, either directly or indirectly, has the power to vote or influence the transaction decisions in a company and benefit from them.

Under the Companies (Beneficial Ownership Information) Regulations, a beneficial owner is a natural person who directly or indirectly:
1. Holds at least ten percent (10%) of the issued shares of the company;
2. Exercises at least ten percent (10%) of the voting rights in the company;
3. Holds the right to appoint or remove a director of a company; or
4. exercises significant influence or control over a company.

Further guidance has been provided in the Guide on Disclosure of Beneficial Ownership Information by the Business Registration Service department (https://brs.go.ke/ ).

When is the beneficial ownership information required:
a. During the initial registration of a company; or
b. As an update of the BO register for existing companies; or
c. As an amendment to the existing company’s BO information.

Lodgement of BO information is free of charge.
