Structuring Cross-Border Transactions. We enable clients to evaluate and optimize alternatives throughout the entire process: Identifying a partner or investment target, managing negotiations, then implementing the transaction. By pointing out the relevant legal, tax, technical and cultural interfaces we enable our clients to make best use of their industry know-how and their standing in the competitive Japanese and European markets. We enable our clients to make use of negotiations as a pivotal point to build trust for the whole transaction, without ceding ground on the central issues. Fluency in both speaking and writing the relevant local languages and the ability to manage course of the negotiations are the key to success in Japan and Europe. We help our clients implement their standards in a transaction of an investment by adjusting the clients` standards to the local standards and practices, without compromising their essence. Best practice recognition identified by such processes is an important added value of acquisitions and cooperation. Post-Closing Implementation. Our transaction management and documentation is focused on effectively assisting the client in the actual implementation of the transaction after closing. M&A contracts are supported by simulations of their balance sheet effects (for the target as well as the purchaser and/or seller). "Recapping the Basics of Brexit and its Implications - a legal perspective"
was the title of a seminar hosted today by various Partners from Atsumi & Sakai (Tokyo and London) and Frank Becker of ASJ Frankfurt. It was co-hosted by LexisNexis Japan and the Business Law Journal.

In the seminar they presented their thoughts on the further process of a Brexit, the legal implications on international business in the UK and the specific implications on various sectors, such as finance, energy and the pharmaceutical and chemical industry.

A newly-admitted associate, Takuya Kato, admitted in Japan, joined Janssen Foreign Law Joint Enterprise with Atsumi & Sakai.

He studied at Chuo University and Meiji University Law school and spent his legal clerkship at the Legal Training and Research Institute of the Supreme Court of Japan.

He is admitted as a Japanese lawyer (Bengoshi) at the Tokyo 1st Bar Association and speaks English and Japanese.

In co-operation with our Frankfurt office, Takufumi Uematsu, Partner of Atsumi & Sakai Tokyo, held a seminar today entitled "Industrie 4.0 in Japan - the Opportunities and Challenges of the Digital Revolution" at the 70th Germany-Japan Enonomic Talks in Frankfurt, hosted by the Deutsch-Japanischer Wirtschaftskreis (DJW - Japanese-German Business Association) and the Vereinigung der Japanischen Unternehmen Frankfurt e.V. (Hōjinkai).

It focused on the social and legal issues of the Digital Revolution ("Industrie 4.0") in Japan, such as the impact of Abenomics, Demographics, Antitrust issues and the legal consequences of a Data leakage.
