Corporate Law Society, NLU Jodhpur An student-run initiative to provide a platform for discussions on corporate and commercial laws, conducted by eminent alumni of NLU, Jodhpur.

CLS is a student-run initative at National Law University, Jodphur, that aims at promoting an understanding of practical aspects of corporate and commercial laws among students that goes beyond the scope of classroom teaching. Our technical sessions usually address topics that are dealt with commonly by legal professionals in law firms, such as related party transactions, legal due diligence, basi

cs of competition law etc. These are usually followed by informal sessions with the speaker, wherein we provide students an exclusive opportunity to raise any and all queries about pursuing career opportunites in corporate law, such as CV drafting, do’s-and-don’t’s for interviews, securing internship opportunities etc. Additionally, since most of our speakers have pursued foreign studies successfully, they also address student queries with respect to pursuing an LL.M. degree from foreign universities. - Mr. Tahir Ashraf Siddiqui, Advocate-on-Record at the Supreme Court of India and an alumnus of National Law University Jodhpur (Batch of 2011), will be addressing the students on “Legal Issues In Enforcement & Revocation of Bank Guarantees: An Overview” as part of our CLS Lecture Series.

Here’s a recap of the engaging, interactive lectures on diverse topics that were organised by the Corporate Law Society since the start of this semester!

1. Mr. Srinivasan Saimani, Partner at Off The Bench, shared his insights with student on the niche area of sports law and provided them with an introduction on the same.

2. Ms. Priyadarshini Rao, Senior Associate at IndusLaw, provided students with a holistic understanding of the specifics of capital markets that an incoming associate or intern should know. She also shared some tips that would greatly benefit aspiring lawyers hoping to work at law firms.

3. Mr. Saahil Kaul, Senior Associate at Trilegal, provided the students with his expertise into the intricacies of energy law transactions.

4. Mr. Amrit Grewal, Associate in the Chambers of Mr. Amit Sibal, conducted an in-depth, informative discussion on white collar crimes and shared a practitioner’s perspective with the students.

An anonymous group calling itself “ethical employees” has complained to the board of Infosys and the US Securities and Exchange Commission (SEC) alleging that the company is taking ‘unethical’ steps to boost short-term revenue and profits and stating that the complainants have emails and voice recordings to substantiate the claims.

Draft Rule 12.5 of the Companies Act, 2013 and Section 177(9) makes it compulsory for listed companies, companies accepting deposits from public and companies borrowing more than Rs. 50 crore from banks or public financial institutions to have a whistle blowing policy and establish a vigil mechanism for directors and employees to report their genuine concerns.
Sarbanes-Oxley Act, 2002 (SOX) is an Act enacted by U.S. congress in 2002 to protect investors by improving the accuracy and reliability of corporate disclosures made pursuant to the securities laws, and for other purposes.

It is a set of standards that all U.S public companies and public accounting firms must comply and adhere with good quality reporting.

In India, whistleblowing has been dealt under Sections 206 to 229 of the Companies Act, 2013 with regards to inspection, inquiry, and investigation. Section 208 provides for an inspector to inspect company records and to present recommendations in conducting such an investigation. Section 210 of the Act empowers the Central Government to conduct an investigation into the affairs of the company in certain cases. Section 211 of the Act creates the Serious Fraud Investigation Office (SFIO) that is empowered to arrest any person for fraud in the company.

Mumbai police arrested two directors of the Housing Development Infrastructure Limited (HDIL) in the PMC Bank scam. Rakesh Wadhawan and his son Sarang Wadhawan, accused of loan default, have been arrested by the Economic Offences Wing (EOW). HDIL is embroiled in the crisis at Punjab and Maharashtra Cooperative (PMC) Bank, which has extended substantial amount of loans to the company. Press Trust of India had earlier reported that the corporate affairs ministry has started an inspection of the books of accounts of realty firm HDIL, which has been unable to meet its debt obligations for quite sometime. The FIR was filed against HDIL, and Punjab & Maharashtra Cooperative (PMC) Bank officials, including suspended MD Joy Thomas in PMC bank fraud case. EOW has formed a Special Investigation Team (SIT) to probe the matter. The FIR alleged possible fraud and wrongful loss of ₹4,355 crore and charges of cheating against HDIL.

The Dutch Administrator ("Trustee"), the Resolution Professional ("RP"), as well as the Committee of Creditors ("CoC") had reached an agreement for settlement of insolvency proceedings termed as 'Cross Border Insolvency Protocol', except for one clause: the participation of the Administrator in the CoC meetings.

The Trustee wanted to insert the clause that allowed him to participate but the RP, on the instructions of the CoC, wanted an exclusion of the Administrator from the CoC meetings.

The NCLAT held that 'The Dutch Trustee' is equivalent to the 'Resolution Professional' of India, and as per law, has a right to attend the CoC meetings.

However, to prevent overlapping of powers, NCLAT directed that the Trustee shall be invited to participate in the meetings of the CoC as an observer but shall not have a right to vote.

Update on the IL&FS crisis -

The NCLAT has directed the Gujarat Urja Vikas Nigam to release around ₹145 crore of IL&FS Group after the company approached the appellate tribunal. NCLAT has directed to list the matter for next hearing on October 15. IL&FS told the NCLAT that the Gujarat distribution company has withheld payment to five IL&FS wind energy companies.
