The Ministry of Corporate Affairs had notified the provision of section 248 to 252 (Removal of Name of Companies from the Registrar of Companies) of the Companies Act, 2013 and rules for the same w.e.f 26th December, 2016. Now, the Ministry has deployed the Form STK-2 (Application by Company for removing its name from register of Companies) on MCA Portal w.e.f 5th April 2017.

MCA has carried out further amendments to Schedule III of the Companies Act, 2013 with effect from the date of publication of this notification in the Official Gazette. In Part I under the heading “General instructions for preparation of Balance Sheet” in paragraph 6, after clause ‘W’, a new clause has been inserted which requires every company to disclose the details of Specified Bank Notes (SBN) held and transacted during the period from 8th November, 2016 to 30th December, 2016 as prescribed in given Table. For the purposes of this clause, the term ‘Specified Bank Notes’ shall have the same meaning provided in the notification of the Government of India, in the Ministry of Finance, Department of Economic Affairs number S.O. 3407(E), dated the 8th November, 2016.

MCA has notified the Companies (Audit and Auditors) Amendment Rules, 2017 which shall come into force on the date of their publication in the Official Gazette i.e 30-03-2017. The amendment are being made to put additional responsibility on the shoulders of the Statutory Auditors to check, report and provide requisite disclosures in its financial statements as to holdings as well as dealings in Specified Bank Notes during the period from 8th November, 2016 to 30th December, 2016 and if so, whether these are in accordance with the books of accounts maintained by the company. Further, changes are also being carried out in the Income Tax returns for corporate to disclose all such figures in their returns for the financial year 2016-2017.

The Ministry of Corporate Affairs has empowered the Regional Director(s) to prepare and maintain/ update the Mediation and Conciliation Panel of eligible experts in pursuance of Rule 3(1) Section 442 of the Companies Act, 2013 who are willing to be appointed as mediator or conciliator. In this regard, Regional Director, Western Region –Mumbai, South Eastern Region –Hyderabad and Eastern Region –Kolkata has invited application from eligible person for the panel of experts as Mediators and Conciliators.

The application may be forwarded in soft copy and/ or physical/ Hard copy on the address or at e-mail id of the concerned Regional Directors.

The Ministry of Corporate Affairs has modified the e-Forms 23ACA, 23AC, CHG-1, CHG-9 and CRA-2. The new version of e-Forms 23ACA (Filing Profit and Loss Account and other documents with the Registrar), 23AC (Filing Balance Sheet and other documents with the Registrar), CHG-1 (Application for registration of creation, modification of charge (other than those related to debentures)), CHG-9 (Application for registration of creation or modification of charge for debentures or rectification of particulars filed in respect of creation or modification of charge for debentures) and CRA-2 (Form of intimation of appointment of cost auditor by the Company to Central Government) available w.e.f. 30th September, 2016. Only new version of e-form will be acceptable and Stakeholders are requested to plan accordingly.

Ministry of Corporate Affairs (MCA) has recently updated and notified new version of e-Forms Form AOC -4 (Form for filing financial statement and other documents with the Registrar), INC-6 (One Person Company- Application for Conversion), INC-12 (Application for grant of License under section 8), INC-29 (Integrated Incorporation Form), SCP (Serious Complaint Form), ADJ (Memorandum of Appeal). Stakeholders are advised to download the latest version before filing. Form- wise date of last version change is available at on the website of MCA.

Ministry of Corporate Affairs (MCA) has amended Companies (Authorised to Register) Rules, 2016 by issuing Companies (Authorised to Register) Amendment Rules, 2016. As per the amended rules, a Partnership Firm has to follow the same compliance which were earlier used to be followed by Limited Liability Partnership (LLPs) at the time of their conversion into a company. Now the partners of the converting firm have to get the consent from secured creditors and a statement of assets and liabilities of the partnership firm duly certified by a practicing Chartered Accountant to be filed with Registrar of Companies (ROC). Firms are also required to file a copy of latest income tax return of the firm.

Ministry of Corporate Affairs has notified new version of e-Forms of Forms PAS-3 (Return of allotment), CHG-1 (Application for registration of creation, modification of charge), DIR-12 (Particulars of appointment of Directors and the key managerial personnel and the changes among them), SH-11(Return in respect of buy-back of securities), FTE (Application for striking off the name of company under the Fast Track Exit (FTE) Mode). Stakeholders are advised to download the latest version before filing. Form- wise date of last version change is available at on the website of MCA.

MCA has notified New version of eForm 4 LLP (Notice of appointment, cessation, change in name/ address / designation of a designated partner or partner. and consent to become a partner / designated partner) is likely to be modified w.e.f 10th January, 2016 and the same is available on MCA21 Portal. Only new version of the eForm will be acceptable. Stakeholders are requested to plan accordingly and ensure that you have downloaded the latest version for filing and uploading the latest version only. Form- wise date of last version change is available at on the website of MCA.

Analysis of amendment by Companies (Incorporation) Amendment Rules, 2016.
1. Now there are three re-submission opportunities instead of Two Opportunities.
2. Total period for re-submission of documents shall not exceed a total period of 30 days.
3. Rule 8(2)(b)(ii) omitted:
Now the name shall be considered desirable even if it is not in consonance with the principle objects of the Company
4. Rule 8(2)(b)(x) omitted : Now abbreviated name of company based on the name of the promoter will be allowed.
5. Rule 8(2)(b)(xvii) and Rule 8(3) omitted. Now there is no need to show the scope, scale of activity in the name of Company while incorporation and change in name.
6. Rule 8(4) omitted. Now If the proposed name is based on the name of the relatives of the promoters / any other person, no need to obtain/ attach NOC and proof of relationship of such person.

All applications for reservation of name (INC-01) would be directed to "Central Registration Centre"(CRC) from 26th Jan 2016, as notified vide the Companies (Incorporation) Amendment Rules 2016, dated 22nd Jan 2016. The operations of CRC will commence with effect from 27th Jan 2016.
