Indemnity Clause hai… toh payment tabhi karni padegi jab final loss ho jaye?
Not necessarily.
Aur yahi misunderstanding business ko crores ki liability tak le ja sakti hai.
In a recent Supreme Court judgment, an important distinction relating to indemnity obligations was explained.
Contract mein sirf word “indemnity” dekhna enough nahi hai.
The real question is:
**Party ne actually promise kya kiya hai?**
Because there can be a major difference between:
• loss hone ke baad compensate karna; and
• kisi party ko liability se “ensure” karke protect karna.
The Supreme Court closely examined the wording of the agreement and found that, in that particular context, a promise to “ensure” that no liability was recovered could operate as an absolute obligation.
That is why the exact language of a contract matters.
The real lesson?
Contracts are not dangerous because they are long.
They become dangerous when one important word is misunderstood.
Before signing an indemnity clause, understand:
→ Liability kab trigger hogi?
→ Actual loss zaroori hai ya nahi?
→ Appeal pending hone ka effect kya hoga?
→ “Indemnify”, “ensure” and “hold harmless” kya same obligation create kar rahe hain?
Never treat an indemnity clause as boilerplate.
Because sometimes one word decides **who pays, how much, and when.**

Law is not a burden. It is power — when you understand it before you need it.
