Company Secretary The worldwide industrialization and boom in the corporate sector has led to an increase in demand for Company Secretaries.

The Institute of Company Secretaries of India(ICSI) is constituted under an Act of Parliament i.e. the Company Secretaries Act, 1980 (Act No. 56 of 1980). ICSI is the only recognized professional body in India to develop and regulate the profession of Company Secretaries in India. The Institute of Company Secretaries of India awards the certificate of bestowing the designation of Company Secretary

(CS) to a candidate qualifying for the membership of the Institute. It was in 1960 that the Company Law Board started a course in Company Secretaryship leading to the award of Government Diploma in Company Secretaryship. As the number of students taking up the Company Secretaryship course grew, the Government promoted on 4th October, 1968, Institute of Company Secretaries of India under Section 25 of the Companies Act, 1956 for taking over from the Government the conduct of Company Secretaryship examination. The Institute of Company Secretaries of India (ICSI) has since been converted into a statutory body w.e.f. 1.1.1981 under the Company Secretaries Act, 1980. The Institute of Company Secretaries of India(ICSI) has on its rolls 25,132 members including 4,434 members holding certificate of the practice. The number of current students is over 2,30,000. The Institute of company Secretaries of India (ICSI) has its headquarters at New Delhi and four regional offices at New Delhi, Chennai, Kolkata and Mumbai. Membership of The Institute of Company Secretaries of India(ICSI) has been recognized for appointment to various superior posts and services under the Central Government. The affairs of the Institute of Company Secretaries of India (ICSI) are managed by a Council consisting of fifteen elected members and five nominees of the Central Government. Pursuant to section 383A of the Companies Act, 1956, companies having a paid -up share capital of Rs 5 crore or more, as prescribed by the Central Government, are statutorily required to appoint a whole-time Company Secretary. The major contribution of Company Secretary (CS) is in corporate sector. Company Secretary (CS) is an important professional aiding the efficient management of the corporate sector. Company Secretary (CS) is designated as an officer under the Companies Act. Company Secretary (CS) has to interact, coordinate, integrate and cooperate with various other functional heads in a company. A member of the Institute of Company Secretaries of India(ICSI) may also practise independently as a professional after obtaining a certificate of practice as provided in the Company Secretaries Act,1980.

Extract of Guidance from ICSI:
Professional Open Book Exam: (OBE)
In OBE, the students are allowed to consult
their study material, class notes, textbooks,
Bare Acts and other relevant papers, while
attempting answers, as per the requirement of
questions. Students are not allowed to consult
their fellow examinees or exchange their study
material/notes, etc. with each other in the
examination hall. Students are prohibited to
bring in any electronic devices, such as laptop,
tab, I pad, palmtop, mobile phone, or any other
electronic device/gadget at the examination
hall/room. However, they are permitted to use
their own battery operated noiseless and
cordless pocket calculator with not more than
six functions, twelve digits and two memories.
Broad pattern of Question Paper for OBE is as
follows:
• Each question paper would contain Six
questions carrying 100 marks
• Question No.1 will be of 50 marks based on
case study ranging between 1800-2000 words.
• Question No.2 will be of 30 marks based on
study of regulatory framework related to the
subject.
• Question No.3-6 will be of 5 marks each
covering important topics of the syllabus.

ATTENTION STUDENTS!
DISCONTINUATION OF COMPUTER TRAINING
PROGRAMME
It has been decided by the Institute that the
Computer Training Programmewill no longer be
part of the training structure and the same will
NOT be applicable for any of the students of CS
Executive Programme regardless of the training
structure (old or new) opted by them or the
date of their registration to the CS Course.
Accordingly, all students may please take note
that they: -
(a) are neither required to register for Computer
Training Programme nor for Online Exemption
Test.
(b) may seek enrollment to Examinations
without complying with the computer training
requirement.
(c) are not required to submit applications for
exemption from computer training based on
their work experience or under reciprocal
arrangement between ICSI and ICAI (Cost).
IMPORTANT:
Henceforth, students are not required register
with M/s. Aptech (for undergoing Computer
Training Programme) or M/s. Sify(for appearing
in Online Exemption Test) and if any student
register with M/s. Aptech or M/s. Sify
disregarding this advisory, they will be doing so
at their own risk and responsibility.

Can a director attending meeting of board be
held valid for counting Quorum if he attends via
video conferencing or by other audio visual
means ?
Answer : Yes , the quorum for a meeting of the
Board of Directors of a company shall be one
third of its total strength or two directors,
whichever is higher, and the participation of the
directors by video conferencing or by other
audio visual means shall also be counted for
the purposes of quorum.

Much awaited MTNL-BSNL merger likely by
July 2015:
Issues:-
a. SALARY- The salary of MTNL employees is
higher than BSNL.
b. DEBT- Debt in MTNL books is much higher.
At present, BSNL offers services in the whole
country, except Delhi and Mumbai. MTNL
provides telecom services in these two zones.

What type of Companies are required to have
CSR Committee ?
Answer : Every company having net worth of
rupees 500 crore or more, or turnover of rupees
1000 crore or more or a net profit of rupees 5
crore or more during any financial year shall
constitute a Corporate Social Responsibility
Committee of the Board consisting of three or
more directors, out of which at least one
director shall be an independent director.
