📢 NOT EVERY LISTED SECURITY MAKES A COMPANY A “LISTED COMPANY”!
Many businesses assume that listing debt securities or preference shares automatically makes them a listed company under the Companies Act, 2013. That's not always true.
Rule 2A of the Companies (Specification of Definitions Details) Rules, 2014 clarifies that certain public and private companies with listed NCDs, preference shares, or overseas-listed equity shares may NOT be considered "listed companies" for Companies Act compliance purposes.
