Speaking to The Economic Times on the Supreme Court’s order in the AGR matter asking for all records pertaining to the bankruptcy proceedings of telecom companies to ascertain if the IBC was misused to avoid payment of statutory dues, Sandeep Grover, Partner, ORTIS Law Offices stated that “the court has merely called for records so as to examine the bona fides of the telcos that have gone into insolvency/liquidation. Upon examination of the records, the court may take a decision as to how the AGR dues can be recovered from the bankrupt companies.”

“We need to ensure that the IBC is not being misused by companies to escape liabilities,” a three-judge bench headed by Justice Arun Mishra said on Monday.

Speaking to ET Prime on the issue of ad valorem fee linked to earnings of resolution professions which has been introduced by the IBBI amid stiff opposition, Aditya Nayyar, Partner, ORTIS Law Offices said, “It may be argued that the levy of fee by the IBBI, on the basis of the professional fees/turnover earned by the IP/IPE in a given year has no nexus or relation to the functioning of the IBBI or ‘for carrying out the purposes of the code’.

Nayyar added that IBBI is a not-for-profit organisation and therefore, it cannot levy fees to make profits. “The levy of fees ought to be done on the basis of the projected expenses that IBBI expects to incur in a given year. In fact, the IBBI appears to be acting as a tax-levying authority, which it is not.”

The MCA has given three more months for independent directors to register in the online databank as well as extending the window for conduct of board meetings through video conferencing for approval of annual financial statements; audit committee meetings; board’s report; prospectus and approvals relating to amalgamation, mergers etc.
