A HK private company needs to participate in an equity transaction in relation to its subsidiary enrolled with the Corporate Registry of Legal Entities (CNPJ/MF) in Brazil, and has to authorize its manager to handle the transaction before the Federal, State or Municipal bodies in Brazil by way of a Power of Attorney (POA).

香港公司在河北省設立子公司- 辦理香港公司的董事決議公證

香港公司在河北省設立外商投資企業 (即不是全資100%股東)，需要由香港的中國委托公証人辦理有關該香港公司的董事決議證明公證。

董事決議或董事決議確認書是需要在香港境內面簽的。

一般而言, 香港公司的董事是需要在香港境內在中國委托公証人面前簽署該董事決議及其他的相關公證文書的。

如香港公司董事不能來港 , 其秘書/公司秘書的董事便需要在香港境內在中國委托公証人面前簽署該董事決議確認文件。

香港公司需提供公証書的內地用証單位的官方名稱, 例如巿場監督管理局。

香港的中國委托公証人會就香港公司的主體資料及董事決議進行公證。
