When a company is involved in a commercial dispute, directors often assume the corporate structure protects them personally. In most circumstances, it does. But personal exposure can arise where:

→ A director has signed a personal guarantee for company borrowing or obligations
→ A director is alleged to have acted in breach of their duties under the Companies Act 2006
→ Fraudulent or wrongful trading is alleged
→ A court decides, in limited circumstances, to pierce the corporate veil

Understanding where that exposure begins, particularly in the early stages of a dispute before positions become entrenched, is important.

A financial remedy judgment handed down in February 2026 contains a line that should give any divorcing couple pause.

The parties, both aged 50, with combined assets of just over £2.3 million, had spent more than £200,000 in legal costs by the time the case reached a final hearing.

Judge Reardon's view was direct: "This should not have been a difficult case to resolve and it is a shame that between them the parties have spent over £200,000 on legal costs."

The case is a reminder that the cost of contested proceedings can significantly erode the assets a settlement is meant to protect. Where both parties' needs can be met, as they could here, early and proportionate advice often leads to a better outcome for everyone.
