Yesterday morning, I gave a presentation at my Ascot BNI chapter about the kind of legal issues business owners often face before they realise they need support.

That is one of the reasons I value speaking in rooms like that. It gives me the chance to explain, in plain English, the situations where early advice can make all the difference.

Often, by the time a business owner picks up the phone to a solicitor, the issue has already escalated. An unpaid invoice has dragged on too long. A shareholder relationship has started to break down. A contract has been signed without enough thought being given to what happens if things go wrong.

A big part of what we do is helping people spot those issues earlier, understand where they stand, and take practical steps before a problem becomes more serious.

People are often curious about what a day in the life of a commercial solicitor looks like, so I thought I’d share a recent one. It gives a good sense of the variety of the role and the firm.

The day started with a 6.30 am BNI meeting at the Leander Club in Henley. I’ve spoken before about the impact BNI has had on our business, and those early morning meetings remain an important way to stay connected with other local owners and professionals.

From there, it was over to Phyllis Court for a client meeting, then back to the office to review documents for a business purchase we were aiming to complete by the end of the day. In between, there were calls with clients further afield, including on matters governed by English law for businesses based overseas.

We also made time for monthly team lunch, something I always value, particularly as our commercial property team continues to grow. I then ended the day with an early evening meeting with the managing partner of an accountancy firm we work closely with.

No two days are the same, but the pattern is familiar: a balance of focused legal work, building and maintaining relationships, and the practical realities of running and growing a business.

A large part of our work involves contracts governed by English law. In many cases, however, English is not the first language of the people involved in the transaction.

That’s one of the reasons I value having a team that speaks multiple languages. Clear communication is essential – not just in the documents, but in the conversations around them. Being able to explain points in a client’s own language can make a real difference to how confident and informed they feel.

Lama is a good example of this. She was raised in Norway and speaks Arabic, Norwegian and English. That background means she can relate to clients from different cultures and help bridge any gaps in understanding, particularly on complex commercial property matters.

For international clients, having advisers who not only understand the legal system but also speak their language is an important added layer of support.

It feels like a good time to share a little of what’s been happening in our world at Dallas & Co.

From our offices in Henley and Maidenhead, the team has been busy. Towards the end of 2025 and into the start of this year, we’ve been recruiting, and I’m pleased to say we’ve now welcomed two new colleagues into the firm. The existing team has gone from strength to strength, which is something I’m particularly proud of.

BNI continues to be a valuable part of my week. What started with one chapter has now grown to four chapters we’re actively involved in, each giving us the opportunity to connect with and support a wider circle of local business owners. Our monthly property get-togethers have also become a real highlight. What began as a simple lunch has grown into a genuinely effective way to do business and build relationships in a relaxed, local setting.

On the work front, we’re continuing to act on projects both locally and abroad. There are also early conversations about a potential new office in an overseas location, which, if it comes together, would be a very natural extension of the cross-border work we already do.

Recently, I was involved in the sale of a business where the seller and buyer knew each other well. They had worked together for years, trusted one another, and had already agreed in principle what the deal should look like. The buyer’s initial view was that there was no need to involve solicitors – it all felt straightforward.

As the conversations moved on, he began to reconsider. Questions started to arise around liabilities, future responsibilities, handover, and what would happen if things didn’t go exactly to plan. At that point, he decided to pause and bring a solicitor in to review and formalise the arrangement.

Once we were involved, we were able to clarify the terms, address points that hadn’t yet been discussed, and make sure both sides were properly protected. The relationship remained positive, the transaction moved forward, and there were far fewer loose ends left to cause issues later.

I see this often. People assume solicitors are only needed when something has gone wrong. In reality, having the right legal support early can keep matters simple, protect relationships, and reduce the risk of unpleasant surprises.

One of the most common issues we see in litigation is also one of the most frustrating: you’ve done the work, the client is happy, but the invoice still isn’t paid.

The impact goes beyond the number on the page. It affects cash flow, the ability to plan, and the sense of fairness in the business. You have delivered your side of the bargain. The payment has not followed.

Recently, a prospective client called and asked when she could come in to meet. She sounded almost apologetic and said she assumed I’d suggest a slot “next week”. In fact, I had time at 5pm that day, so I invited her to come in then. She was genuinely surprised.

For me, that’s simply part of the job. If you are trusting us with your business, we should do what we can to meet you promptly and keep things moving.

Flexibility and pace are so important in the way we work. When someone reaches out, they’re usually doing so because there is a decision to be made or an issue to move forward – not something to add to a long list of delays.

In an interview last year, I was asked: “What change would you most like to see in 2025?”

My answer came quickly: a government that better understands small business.

In 2026, that wish hasn’t changed.

Every week, I sit across the table from business owners who are juggling rising costs, recruitment challenges, regulatory change and the day-to-day reality of keeping a business going. Many are doing all of that while trying to grow, invest, or take their next strategic step.

What strikes me most is not a lack of ambition or effort (there is plenty of both) but how often small businesses feel they are doing it in spite of the system rather than with its support. More red tape, more uncertainty, and very little time to step back and make sense of it all.

I can’t control government policy. What I can control is how we show up for the businesses we work with. For us, that means:

✅ Clear, commercial advice so you can make decisions with confidence.
✅ Practical support on risk and protection, rather than layers of unhelpful jargon.
✅ A genuine partnership mindset – sitting alongside you as you grow, expand, buy, sell or restructure.

My wish for this year is still a landscape that recognises just how much small businesses contribute, and makes it easier for them to thrive.

From time to time, a case comes along that reminds you why experience and instinct both matter.

In a recent matter, we sought advice from Counsel on a potential claim. The first barrister we approached was clear in their view: we were unlikely to succeed. On paper, that could have been the end of it.

Something about the case, however, didn’t sit comfortably with me. Having looked at the facts in detail, my instinct was that there was more to explore. I went back to the client, explained the position, and asked whether they would be willing for us to seek a second opinion.

The second barrister agreed it was a difficult case, but took the view that there was a viable route forward.

I’ll share more about the case itself shortly, but the first point is this: in complex matters, professional judgement isn’t only about knowing the law. It is also about listening to your experience, recognising when something doesn’t feel complete, and being prepared to ask another question or seek another view.

In situations like these, that combination of experience and gut instinct can make a real difference to the outcome.

There are times when the honest conclusion is that one shareholder needs to leave the business.

It’s not an easy decision, but it can be the right one. A misalignment on strategy, different levels of involvement, or simply wanting to take life in a new direction – all of these can make continuing together difficult, and can hold the business back.

In those situations, the priority is to protect the company while agreeing on a fair and practical way forward. That means looking carefully at valuation, the process and timetable for an exit, and how to minimise disruption for staff, customers and suppliers.

If you’ve reached the point where staying as you are no longer feels sustainable, it’s important to understand your options before anything is said or done in haste.

It’s Monday morning, and by 9.30 am we’ve already had our first team meeting of the week.

Every Monday, we spend 15–20 minutes together, reviewing what we did last week and agreeing on the priorities for the days ahead. We tend to do it standing because no one likes standing up for long, so it makes everyone do it super quickly.

As I walked back to my desk this morning, it struck me how much this simple routine reflects the way we work as a firm. Clear on priorities. Brief, to the point conversations. And a shared commitment to getting things done promptly, not letting matters drift.

It’s something our clients often comment on, that we are organised, responsive, and move at the pace their business needs. And for me, it all starts with that short Monday morning meeting.
