Most UK business sales are structured as either a share sale or an asset sale, and the route you choose can affect tax treatment, historic liabilities, due diligence, transaction complexity and negotiating position.

In this post, we break down the key differences and explain why this is one of the first strategic decisions to consider when planning a sale.

If you’re preparing to sell your business, our Corporate team would be pleased to help.

A good service agreement should make the relationship easier to manage. It should be clear on what is being provided, when it will be delivered, what each party is responsible for, how payment works and what happens if things change.

Whether you’re providing services or buying them in, our commercial law team can help make sure the agreement is clear, practical and aligned with your commercial position.

Heads of Terms can be a really useful starting point when a deal is taking shape. They set out the main points of the transaction before the detailed legal documents are prepared, helping everyone stay clear on what’s been agreed and what still needs to happen.

Our free Heads of Terms Builder makes that first step simpler. Here’s James to tell you a bit more about how it works.

You can find the builder on the Legal Resources page of our website:

We’re pleased to share that our Commercial Property team recently acted for the seller in the sale of an industrial unit on an industrial estate in Grays.

This was a straightforward standalone transaction, with our team handling the legal process and supporting the seller from instruction through to completion.

Well done to Rejwan Ali, who led the matter.

If you’re selling or purchasing commercial property and would like practical legal support, our team would be pleased to help.

One of the reasons clients like working with us is that they don’t have to piece everything together through separate advisers.

As a full service firm, Rubric Law can support businesses across corporate, commercial and employment matters, which is especially useful when those areas overlap. That means advice stays joined up, communication is simpler and the team handling your matter understands the bigger picture.

Whether you’re growing, restructuring, buying, selling or dealing with day-to-day business decisions, we can bring the right support together under one roof.

Our Corporate team recently advised on the sale of a profitable pharmacy business.

This was a substantial transaction with a detailed due diligence process and plenty of enquiries to work through along the way. Our team supported the client closely throughout, including giving extra hands-on guidance where needed to help make the due diligence process easier to manage.

We also kept in regular contact with the buyer’s solicitors to keep things moving and maintain a practical approach as the deal progressed.

A big well done to Nisha Kaur, Rukshan Attapattu and Tom Wilson for their work on this matter.
