If you run your business from part of a property and live in another part, it is easy to assume residential tenancy rules apply.

But mixed-use premises can be more complicated.

A business tenancy can still fall within the Landlord and Tenant Act 1954 where the premises are occupied for business and other purposes.

So the fact that you live at the property does not automatically make the whole arrangement an assured tenancy.

Before you sign, check:

β€’ What the lease says about permitted use
β€’ Which parts of the property can be used residentially
β€’ How the premises will actually be occupied
β€’ Which tenancy rules apply to your arrangement
β€’ What rights and responsibilities you are agreeing to

The important point is not what the document is called. It is what the agreement actually means for you.

If you are taking on mixed-use business premises, get the position clear before you commit.

A document being called a β€œlease” does not tell you everything about the legal arrangement.

What matters includes who the tenant is, how the premises will actually be occupied and what the lease allows you to do there.

This becomes particularly important with mixed-use premises.

For example, you might be taking on premises where part is used for the business and another part is lived in.

That does not automatically mean the residential part turns the whole arrangement into an assured tenancy.

Part II of the Landlord and Tenant Act 1954 can apply where premises are occupied for business purposes or for business and other purposes.

Before you commit, make sure you understand which legal regime applies to your particular arrangement.

If you are taking on business premises, you may have come across terms such as β€œcommercial lease”, β€œbusiness tenancy” and β€œassured tenancy”.

They are not the same thing.

In England, a tenancy that falls within Part II of the Landlord and Tenant Act 1954 as a business tenancy is excluded from the assured tenancy regime under the Housing Act 1988.

So if you are renting a shop, office, warehouse or other premises for your business, you should not assume residential tenancy rules apply.

It can become more complicated where the premises have both business and residential use.

They may both involve renting property, but they sit within different legal frameworks.

A business tenancy

Usually involves premises occupied for a business. Part II of the Landlord and Tenant Act 1954 may apply and can provide qualifying business tenants with statutory rights relating to renewal.

An assured tenancy

It is part of the residential tenancy regime. Current government guidance describes assured periodic tenancies as arrangements involving a tenant's main accommodation and specifically excludes business tenancies.

The distinction matters because your rights and responsibilities can be very different.

If your premises combine living accommodation and business use, the answer may depend on the specific arrangement.

Do not choose a tenancy category based on how the premises look. Check how the agreement and occupation work together.

Transferring a business lease as part of a sale or handover?

Check these four points early:

Can the lease be assigned?
Read the assignment clause and check whether any conditions apply.

Do you need landlord consent?
Your landlord may need to approve the incoming tenant before the transfer can complete.

What documents are required?
This may include a licence to assign, deed of assignment or other lease documents.

Will you have any responsibilities afterwards?
Check whether a guarantee, rent deposit or other obligation could continue after the transfer.

These checks can help you understand what needs to happen before you commit to a completion date.

Transferring your business lease?

Do not forget about the rent deposit.

If you paid a deposit when the lease started, check what happens to it when the lease is assigned.

You may need to establish:

whether the existing deposit is returned
whether the incoming tenant needs a new rent deposit
whether the landlord has conditions before releasing the old deposit
whether a separate rent deposit deed needs to be dealt with

This is easy to overlook when your attention is on the wider business sale.

Check the lease and related documents early so you know what needs to happen before completion.

Transferring a business lease can look like one part of a wider business deal.

You may be selling your business, bringing in a new tenant or moving responsibility for the premises to someone else.

The question is often who should deal with it. Do you ask your accountant because they already understand your business finances? Or do you need a solicitor because the lease is a legal document?

A lease transfer is often called an assignment.

It means the existing tenant transfers their interest in the lease to another party.

But you cannot assume the lease can simply be handed over.

Your lease may require:

β€’ landlord consent
β€’ information about the incoming tenant
β€’ a licence to assign
β€’ a deed of assignment
β€’ a rent deposit or guarantee
β€’ other conditions to be dealt with first

This becomes particularly important when the lease transfer is part of selling a business.

The business sale and lease transfer need to work together.

Check what the lease requires before agreeing your completion or handover date.
