El Wakeel Law Firm acted as legal counsel to Al Ahly Sports Facilities Company in connection with the landmark Al Ahly Stadium Naming Rights Agreement with global telecommunications company Vodafone.

The transaction represents one of the most significant sports sponsorship deals in Egypt, constituting the highest-value sports sponsorship agreement ever concluded in Egypt. It also marks the first stadium naming rights agreement of its kind in the Middle East involving a stadium owned by a sports club.

The agreement provides a commercial milestone for Al Ahly’s new stadium, securing substantial sponsorship value while the venue remains under construction. The deal is expected to cover approximately 40% of the stadium’s construction costs before its official opening.

The transaction was led by Tamer El Wakeel, Founder and Managing Partner of El Wakeel Law Firm, with support from Legal Counsels Omar Abdeen, Dalila Djamane, and Hussein Moharram.

Sharkawy & Sarhan acted as Egyptian local counsel to HSBC in connection with the proposed sale of HSBC Egypt’s retail banking business to Emirates NBD, a landmark transaction in Egypt’s banking sector that follows a competitive bidding process and remains subject to regulatory approvals.

The firm advised HSBC on all Egyptian law aspects of the transaction from inception through signing. The transaction marks another significant development in Egypt’s financial services sector, with Sharkawy & Sarhan working alongside HSBC and its international advisers to bring the deal to a successful signing.

Matouk Bassiouny & Hennawy (MBH), acting as local Egyptian legal counsel to Emirates NBD P.J.S.C., advised on the acquisition, by its wholly owned Egyptian subsidiary, Emirates NBD Egypt S.A.E., of the retail banking business of HSBC Bank Egypt S.A.E.

The transaction follows a competitive sale process conducted by HSBC, following which Emirates NBD was selected as the successful bidder. Completion of the transaction remains subject to the satisfaction of regulatory approvals and closing conditions.

Upon completion, Emirates NBD Egypt will acquire HSBC Egypt’s retail banking portfolio, together with the associated branches, ATM network, customer base, relevant employees and related business operations. The transaction is expected to further strengthen Emirates NBD Egypt’s position in the Egyptian banking sector while enhancing connectivity across the UAE–Egypt corridor.

The acquisition represents one of the most significant banking M&A transactions in Egypt in recent years.

Acting as local Egyptian legal counsel, MBH advised Emirates NBD on all aspects of Egyptian law, including legal due diligence, negotiation of the transaction documentation and the Egyptian banking regulatory aspects of the transaction. Clifford Chance acted as international legal counsel to Emirates NBD, and the firms worked closely together to deliver an integrated cross-border legal advisory team.

International Counsel Bureau (ICB) has advised the State of Kuwait, acting through the Kuwait Ministry of Finance and represented by the Kuwait Investment Authority, as issuer’s Kuwaiti counsel on its US$6 billion sovereign bond issuance under its updated Global Medium Term Note Programme.

The issuance comprised US$3 billion 3-year Notes, US$1.5 billion 5-year Notes, and US$1.5 billion 10-year Notes. Completed amid regional geopolitical tensions and market volatility, the transaction attracted strong international investor demand, reinforcing Kuwait’s continued access to the international debt capital markets.

ICB advised on all Kuwaiti law aspects of the transaction, including the legal and regulatory framework, governmental approvals, transaction documentation, and the delivery of Kuwaiti legal opinions. The team was led by Managing Partner Aisha Qais Al Nesef, alongside Senior Associate Abdulrahman Alroumi and Trainee Associate Yousef Almehri.

Citigroup Global Capital Markets Inc., Crédit Agricole CIB, Goldman Sachs, HSBC, Industrial and Commercial Bank of China, J.P. Morgan, Mizuho, SMBC Group, and Standard Chartered acted as Joint Lead Managers on the transaction.
