Farris lawyers recently represented Diversified Royalty Corp. (DIV) and its wholly-owned subsidiary Mr. L**e Canada Ltd. on a strategic acquisition of the Mr. L**e + Tires franchisor business in Canada for an aggregate purchase price of $235 million, subject to customary closing and post-closing adjustments. Mr. L**e + Tires is the leading Canadian automative service chain specializing in fast, drive-in drive-through, no-appointment-needed vehicle maintenance.

DIV is a multi-royalty corporation, engaged in the business of acquiring top-line royalties from well managed multi-location businesses and franchisors in North America. DIV’s objective is to acquire predictable, growing royalty streams from a diverse group of multi-location businesses and franchisors. DIV, through its subsidiary Mr. L**e Canada Ltd., will also operate the Mr. L**e + Tires franchisor business in Canada. The purchase price was funded by DIV’s cash on hand, a private placement of DIV shares, rolled equity as well as $38.5 million drawn from DIV’s existing acquisition facility and $212.5 million drawn from a new senior credit facility entered into by Mr. L**e Canada Ltd.

Farris LLP acted for DIV and Mr. L**e Canada Ltd. with respect to the existing and new credit facilities, as well as with respect to corporate governance, employment and securities matters. Farris’ transaction team was led by partner David Selley (banking) and included partners Rob Veitch (corporate governance and securities) and Alexander Mitchell (employment); and associates Allison Render (employment), Nicholas Allen (corporate and banking) and Doris Wang (banking).

On June 11, 2026, South Coast British Columbia Transportation Authority (“TransLink”) issued $300 Million 3.85% green bonds due December 1, 2035. This represented the first green bond issuance under TransLink’s updated green bond framework and sustainability framework to further TransLink’s mission to connect the Metro Vancouver region and enhance its liability by providing a sustainable transportation network. Net proceeds from green bond issuances are used to finance or refinance, in whole or in part, existing and ongoing capital projects that provide environmental benefits to TransLink and the region, including projects in the clean transportation, low carbon energy, energy efficiency and climate change adaptation categories.

Farris has assisted TransLink in issuing over $2 billion in green bonds since 2018, and a total of over $4 billion in bonds since assisting TransLink with establishing their direct capital borrowing program in 2010.

Farris was pleased to host the 2026 Lex Mundi Managing Partners conference last week, themed “Building Tomorrow: Talent, Growth, Innovation”.

Over the course of three days, 85+ Managing Partners from premiere firms worldwide gathered in beautiful Vancouver to share insights on the state of the legal market, evolving client expectations and the strategies guiding firm leadership forward. Among the highlights, author and expert Dr. Daniel Susskind delivered a keynote address titled “The Legal Profession in the Age of AI,” focusing on how artificial intelligence is altering legal firm structures and workloads.

While in town, attendees also took in a tour of the Grouse Mountain grizzly bears, dinner with a view atop the mountain, and a cruise of Coal Harbour.

Farris Partner, Todd Bell, recently presented to a large group of BC’s bench and bar on the Supreme Court of Canada’s landmark decision, Ahluwalia v. Ahluwalia, which established a new private law tort of intimate partner violence. In Ahluwalia, the SCC found that the current available remedies fail to right the wrong to dignity, autonomy and equality and could not account for the wider and qualitatively different consequences of coercive control such that recognition of a new tort was necessary. Todd discussed where the decision fits in the larger body of family violence jurisprudence in BC, the propriety and process of making a claim under the new tort, the assessment of damages where a claim is successful, and best practices going into unchartered legal territory.

Todd is an experienced family law litigator and trial lawyer. He practices parenting and custody litigation, assists parties seeking emergency protection from family violence and divides high net-worth assets such as corporate interests, trusts, foreign property, and pensions.
