DID YOU KNOW: When Buying or Selling a home "Is the Agreement of Purchase and Sale" enforceable even if no deposit was delivered?...ABSOLUTELY!


Example: Buyers accepted an offer last night however changed their minds and won’t provide the deposit because “if the deposit is not paid there is no binding agreement”, right? WRONG!

The consideration of a real estate deal is the promise to transfer the property to the buyer in exchange for the buyer promising to pay the purchase price, not the deposit.


Failing to pay a deposit on time is a fundamental breach of the Agreement of Purchase and Sale and the Seller can sue the Buyer. The seller can let the buyer pay the deposit late to keep the transaction alive but has no obligation to do so.

Even if the Seller can sell the property for more, courts have held that deposits by their nature are an estimate of liquidated damages to be paid should the buyer breach the terms of the Agreement. Even if the seller doesn’t suffer any loss, the seller can still sue a buyer who didn’t pay the deposit for the amount of the deposit.

IF YOU ARE ARE A BUYER:
Be aware that you cannot simply walk away from the deal by failing to pay the deposit.
