According to the Companies Act, 1994, there are 3 types of companies in Bangladesh:

1. Public Limited Company (PLC)
2. Private Limited Company (Ltd.)
3. One Person Company (OPC)

The abbreviation (PLC) is written at the end of the name of a Public Limited Company. The minimum number of members of these companies is 7 and the maximum number of members is limited/unlimited by the number of shares. Moreover, the shares of a Public Limited Company can be sold to the general public to raise capital, which is known as Initial Public Offering (IPO) in the stock market.

On the other hand, the name of a Private Limited Company is written as Ltd. The number of members of such a company can be from a minimum of 2 to a maximum of 50. Shares cannot be sold to the public but are limited to the number of members. It is easy to manage due to relatively few rules. It is a popular form for small and medium businesses.

On the other hand, the concept of One Person Company is completely new. It was introduced on 26th Nov 2020 by section -11(Ka) of the Companies Act 1994. It is formed by the ownership of only 1 Natural Person. That person is the first shareholder and director of the company and must be 18 years of age or older. There will be a separate Legal Entity (company is separate from the owner). It is not possible to transfer partial shares of it since it is a One Person Company. It is generally ideal for small entrepreneurs / Startup owners. Since it is a company, its risk is limited to the company and not the individual like other companies.

Tips: Public Ltd is best for large investments and public funding, Private Ltd is best for growing personal business, and OPC is best for sole proprietorship.

আমরা প্রতিনিয়ত পোস্ট দিয়ে এটাই জনসাধারণকে বুঝাতে চাচ্ছি যে, আয়কর রিটার্নকে ছেলেখেলা ভেবে যার-তার মাধ্যমে অথবা আয়কর আইন না জেনে ইউটিউব দেখে আবোল-তাবোল আয়কর রিটার্ন দাখিল করবেন না। এতে আপনি সাময়িক লাভবান হলেও ভবিষ্যতের জন্য ব্যাপক ক্ষতিগ্রস্থ হবেন।

একজন করদাতা আয়কর রিটার্নে আয়ের উৎসের যথাযথ প্রমাণ ব্যতীত দুই কোটি টাকা সম্পদ প্রদর্শন করে ২০২৫-২৬ করবর্ষের রিটার্ন দাখিল করেছে। ফলশ্রুতিতে আয়কর অফিস তার সমুদয় সম্পদকে করযোগ্য আয় ধরে ৫৫ লাখ ৬৫ হাজার টাকা আয়কর আরোপ করেছে।

আয়কর আইন না জানা পাপ নয়। তবে আপনার সম্পদ আর আয়কর রিটার্নের গুরুত্ব জেনেও যদি আপনি দায়সারা কাজ করেন, তবে তার ভারী মাশুল আপনাকে দিতে হবে। অযথা ঝামেলায় না জড়িয়ে দক্ষতার সহিত আয়কর রিটার্ন দাখিল করার ব্যবস্থা নিন।
