Most people don't realise how much can actually go wrong in a business sale until they're in the middle of one.

Buying or selling a business is one of the biggest financial decisions a founder ever makes, and it tends to go wrong in the same few places, every time. Valuations that don't hold up under scrutiny. Warranties drafted too loosely. Due diligence gaps nobody caught until settlement. Tax structures nobody considered until it was already too late to fix.

Join Samantha, a Lawyer at Lawpath, and Tim Quinn, Lawpath's Head of Tax & Accounting, for a live session walking through the full process from both sides of the table, what buyers need, what sellers need, and what actually goes sideways in real transactions.

If you're planning to buy, sell, or exit a business in the next few years, this is worth an hour of your time before you're already mid-negotiation.

Emperor's Garden, the Chinatown eatery famous for its cream puffs and decades of queues, has just closed after the ATO applied to wind up the company over an $845,000 tax debt.

Debts like this don't happen overnight. They build. And the businesses that get ahead of it always have more options than the ones that wait.

You can be profitable on paper and still not make payroll.

That's not a hypothetical, it's the reality for a lot of growing businesses. A healthy P&L tells you nothing about the gap between issuing an invoice and actually getting paid, or whether your payables are timed to blow a hole in your bank balance the same week rent's due.

Orianne Carvalho, Accountant at Lawpath, is running through the cash flow fundamentals that founder-led businesses actually need, not textbook theory, the stuff that decides whether next month is smooth or stressful.

If "profitable" and "cash poor" have ever described your business at the same time, this one's for you.

Running a business that trains people to have hard conversations about mental health means Daniel McCullough doesn't have room for legal admin to fall through the cracks.

In this clip, he talks about the shift from reactive to proactive when it comes to legal, getting ahead of contracts and compliance instead of scrambling when something's already a problem. It's a mindset shift a lot of growing businesses need to make, and the right tools make it a lot easier to actually follow through on.

Australia just introduced a world-first minimum pay guarantee for gig economy workers, Uber Eats and DoorDash riders and drivers will now receive at least $31.30 to $32 an hour, calculated over a 21-day earning period.

If you don't run a delivery business, it's easy to assume this doesn't affect you. It's worth a second look.

This ruling is the Fair Work Commission drawing a clearer line around when someone working "independently" actually needs employee-level protections. If you've got people working for your business as contractors, a bookkeeper, a tradesperson, anyone on an ABN instead of payroll, this is exactly the kind of precedent that gets pointed to if that classification is ever challenged down the track.

Getting it wrong isn't a small administrative slip. Sham contracting penalties are real, and they add up fast.

If it's been a while since your contractor agreements were reviewed, now's a sensible time to check, not after.

Health and medical businesses don't run on generic legal advice. But most of them are getting it anyway.

AHPRA obligations. Patient privacy under the Health Records Act. Practitioner service agreements. Contractor vs employee rules for locums and allied health. None of it fits a standard SME template, and treating it like it does is where the personal liability creeps in.

Tomorrow on 20 August, Lawpath Commercial Lawyer Samantha Wimalasuriya is breaking down the legal essentials every clinic owner, practitioner, and health operator actually needs in place.

Last week the Lawpath team headed to Westpac's Startup Garage in Cremorne, four days of founder talks, workshops, and hands-on support for Melbourne's startup and small business community.

We were proud to be there as a Westpac partner, chatting to founders about getting their legal and compliance sorted from day one (and yes, eligible Westpac customers can access a range of complimentary Lawpath offers, from free 12-month subscriptions to consultations with a lawyer & accountant). 650,000 businesses. Thousands of contracts a day. One AI operating model.

Our CEO Dom Woolrych breaks down what actually powers Lawpath Atlas, an AI system trained on real legal and accounting questions from over 650,000 Australian businesses, processing thousands of legal contracts every single day.

That scale is the point. It means Atlas isn't guessing at what small businesses need, it's learned from the patterns of hundreds of thousands of them, making it one of the largest systems of its kind in the country.

Watch Dom explain how it works πŸ‘‡
