“Who will manage a company after the death of the sole director?”

If a director dies, the surviving director/s will continue to manage the company but what happens if a sole director and/or shareholder dies without a will leaving the company without a properly authorised person to run it or no known beneficiaries to appoint a new director.

The surviving spouse or other close relative must make application to the Supreme Court for Letters of Administration to administer the deceased person’s estate. Letters of Administration may take months to be granted by the Court and until then it is possible that the company may be unable to continue to trade. The company’s bank accounts may not be able to be accessed to permit the company to perform its day to day activities and staff and suppliers may not be able to be paid causing damage, perhaps irreparable, to the company.

It is therefore essential for a sole director to have a will which will make the transition much easier.

NEED A NEW WILL?

We can assist you with advice and preparation of your will.

A will is a very important legal document which every adult should have. It not only ensures that your hard earned assets will pass to your family and friends in accordance with your wishes, but it also appoints a trusted person or persons to be your executor.

YOUR EXECUTORS
Your executor will collect your assets (and pay any debts) and will distribute your assets to your beneficiaries. You may appoint one or up to four executors.

YOUR BENEFICIARIES
You should consider carefully to whom you will leave your assets and which assets will be left to which beneficiaries. If any beneficiary is under 18 years old, then that beneficiary may not take the gift until reaching 18 years of age (you can also stipulate a higher age than 18 if you prefer). If you exclude your spouse or partner, children or dependents, then those people may make an application to the Court for provision from your estate.

REVIEW YOUR WILL
You should review your will regularly (perhaps on a memorable anniversary). You should consider whether to make another will if:

➡️ your financial circumstances change or you move to Queensland from another jurisdiction;
➡️ you marry after making your will as your marriage will revoke your will (unless made in contemplation of your marriage);
➡️ you divorce, which will usually exclude your ex-spouse from taking a gift under your will.
