This past weekend, the Lewis Holdway Community (Lewis Holdway Lawyers, Legal Essentials, and Kearley Lewis Debt Recovery Experts) came together for our annual Getaway at the beautiful Silverwater Resort in San Remo.
With perfect weather on our side, Friday was about fun—basketball, tennis, and relaxing by the pool. On Saturday, we shifted gears, diving into training sessions on client retention, communication, sales, and personal wellness.
A great mix of learning, bonding, and recharging—what a way to start the year!

Today is National Survivors’ Day.

Last week, our Managing Director, Paul Holdway, met with the Governor General, Sam Mostyn, to recognise and honour the courage and resilience of survivors of sexual assault and institutional abuse, as well as their supporters and whistle-blowers across Australia.

On this day we honour their journeys, acknowledge the strength it takes to heal, and raise awareness for ongoing support and justice.

Help show your support for the entire week by wearing multi-coloured ribbons, tying them to your property in places of prominence such as letterboxes, verandas, cars and by making the pledge to acknowledge survivors through social media.

Buying a small business is an important commercial decision and the law surrounding a sale of business is complicated. You should seek appropriate legal advice to protect your interests as a party.

Tips – what to look out for:

A set of special conditions that are essential and tailored to the business.

Copy of the Premises Lease (including any variation and renewal of lease).

An updated Landlord’s Disclosure Statement to be provided by the vendor.

Section 52 Vendor’s Statement (a due diligence guide completed by the vendor’s professional accountant). The purpose of this Statement is to notify the purchaser of certain particulars concerning the trading and financial position of the business to be acquired. It provides key financial information which will assist the purchaser to identify those matters where further information and documentation is required.

Landlord’s consent to transfer of an existing lease or a new lease.

Relevant permits and licences to operate the business on the premises.

Exclusions and inclusions such as employees, intellectual property and equipment assets list.

Whether any registered business name(s) are being transferred as part of the transaction.
