Buying the café doesn’t necessarily mean you’re buying the coffee machine. ☕👀

The equipment might be sitting on the premises—but it could be hired, leased or subject to finance.

Before signing a business purchase contract, check:

✅ What equipment is included or excluded?
✅ Does the seller actually own it?
✅ Are there registered security interests that need to be addressed?

A clear equipment list, ownership checks and appropriate PPSR searches can help identify issues before settlement.

💍 Could saying “I do” cancel your Will?

You’ve booked the venue, chosen the rings and planned the honeymoon—but have you checked your Will?

In South Australia, getting married generally revokes an existing Will. An important exception is a Will expressly made in contemplation of that marriage.

Don’t assume your current Will has the wording you need—especially if you have children from a previous relationship or particular people you want to provide for.

✅ Add “review my Will” to your wedding checklist.
✅ Get advice before the big day.
✅ Make sure your plans reflect your family and your wishes.

At PA Law, we can help you prepare for your next chapter.

You see a loan. Your child sees a gift. 💸🏡
What happens when you ask for your $100,000 back?

Helping your child buy a home is a big decision. Before transferring money, make sure everyone understands:

✅ Who is borrowing—the child, their partner, or both?
✅ When and how will the money be repaid?
✅ What happens if circumstances change?
✅ How does any unpaid loan fit with your Will?

If you expect repayment, don’t sign paperwork describing the money as an unconditional gift.

A written agreement can clarify expectations, but it doesn’t guarantee repayment. Get independent legal advice before committing.

Before you split the business 50/50, agree on what happens when you disagree. 🤝

Starting a company with a friend, relative or business partner? Save this checklist before you commit.

What should a shareholders agreement cover? Start with these five things:

💰 MONEY: What is each person contributing—and is it payment for shares or a loan to the company?

👥 WORK & PAY: Who does what, how are they paid, and what happens if someone stops working in the business?

✍️ DECISIONS: Who can approve major spending, borrow money or sign contracts?

⚖️ DISAGREEMENTS: How will you resolve a deadlock if neither person will agree?

🚪 EXIT: If someone wants to leave, who can buy their shares, how are they valued, and when is payment due?

Have the difficult conversation while you’re still getting along. Document the arrangements in a shareholders agreement tailored to your company and its governing rules.

How do you protect yourself from a house deposit scam? Before transferring your deposit or settlement money, independently confirm the BSB and account number with the business you’re paying, using a phone number you’ve verified separately.

In this video, PA Law explains three practical checks for property buyers in Australia:

• PAUSE before acting on an urgent payment email.
• CALL your agent, solicitor or conveyancer on an independently verified number.
• CONFIRM the BSB and account number before transferring funds. Verify any changes again.

Can a scam email look genuine?
Yes. Scammers can impersonate a business or compromise a genuine email account. A familiar logo or an existing email conversation is not proof that the banking details are correct.

What should you do if you have already paid?
Contact your bank immediately if you suspect a property settlement scam, then notify your solicitor or conveyancer.

“Mum gave me power of attorney… so I can still manage her money after she dies, right?” 🤔
No—even an enduring power of attorney ends when the person dies. Being Mum’s attorney doesn’t automatically make you her executor. These are separate roles with different responsibilities.
Understanding the difference now can help avoid confusion at an already difficult time.

You’ve resigned as a company director — but what happens to the personal guarantees you signed while you were a director?
Resigning and removing your name from ASIC does not necessarily release you from a personal guarantee.
If you’re leaving a company, check what guarantees you’ve given to banks, landlords, finance providers and suppliers — and whether a formal release is required.
Sometimes leaving the company is only one part of leaving the liability behind.

“We’ll deliver Friday.” 🚚
You’re expecting 8 am. Your supplier is thinking 4 pm.

Same words. Different expectations.

In PA Law’s fictional story, “Friday, According to Whom?”, a café owner and supplier discover why delivery details deserve more than a passing mention.

Before your next order, ask:
📅 Which date?
⏰ By what time?
📍 At which location?
📦 Does delivery include unloading?
💬 What happens if there’s a delay?

200 cupcakes. One failed fridge. One message: “We’re not paying.” 🧁

The order arrived on Monday. By Tuesday, the cupcakes were spoiled. Who bears the loss?

In this fictional café scenario, the answer depends on more than whose fridge failed. The condition at delivery, storage instructions, contract terms and applicable legal protections all matter.

Does your next business agreement explain what happens when something goes wrong?
