من أهم خصائص الشركة ذات المسئولية المحدودة تحديد مسئولية الشريك عن ديون الشركة بمقدار حصته في رأس المال، وعلى ذلك فضمان دائني هذه الشركة يقتصر على ذمتها المالية دون ذمم الشركاء الذين تنحصر مسئوليتهم في حدود حصصهم، وتحديد مسئولية الشريك عن ديون الشركة بمقدار حصته في رأس المال تحديد مطلق يسري على علاقة الشركاء كل بالآخر وعلى علاقته الشركاء بالغير، وبذلك فإن الشريك منذ اكتمال تأسيس الشركة بتسليم حصص الشركاء بالكامل يكون في مأمن من مطالبة الشركة بتقديم ما يزيد على حصته كما يمتنع على دائني الشركة أن يوجهوا أي مطالبة له بديون الشركة حال عدم مسؤليته عنها..
ـــ يجوز للشريك في الشركة ذات المسئولية المحدودة ان يتنازل عن حصته فيها لأحد الشركاء فيها او لاي شخص آخر الا ان هذا التنازل لا تحاج به الشركة او الغير الا من تاريخ قيده في السجل التجاري لدى السلطة المختصة.
One of the most important characteristics of a limited liability company is determining the partner’s liability for the company’s debts to the extent of his share in the capital. Accordingly, the guarantee of the creditors of this company is limited to its financial liability without the liabilities of the partners whose liability is limited to the limits of their shares. Determining the partner’s liability for the company’s debts to the extent of his share in the capital is considered an absolute limitation that applies to the partners’ relationship with each other and the partners’ relationship with third parties. As such, upon the completion of the company’s incorporation by handing over the shares of the partners in full, the partner shall be secured from the company’s claim to provide more than his share, and the company’s creditors are also prevented from directing any claim to the partner regarding the company’s debts if he is not liable for them..

- A partner in a limited liability company may transfer his share in it to one of its partners or to any other person, however, this transfer shall not be acknowledged by the Company or a third party except from the date of its registration in the commercial register with the competent authority.

الفصل التعسفي مستحق التعويض يكون في حالتين فقط هما في حالة إنهاء خدماته بسبب التقديم بشكوى إلى الوزارة، وفي حالة إنهاء خدماته بسبب إقامة دعوى ضد صاحب العمل ثبت صحتها ، عملا بالمادة 47 من المرسوم بقانون اتحادي رقم 47 لسنة 2021 بشأن تنظيم علاقات العمل. أما مدة الإنذار فهي حق للطرف الذي أنهى عقد العمل في مواجهته ويمكن الاتفاق على الإعفاء/ التخفيض دون المساس بحق العامل في فترة الإنذار ويمكن الحصول على تعويض (بدل إنذار)، عملا بالمادة 43 من ذات القانون المذكور.
Arbitrary dismissal entitling to compensation shall be in two cases; if the employee is terminated due to a complaint filed to the Ministry, and if he is terminated because of initiating a case, established to be valid, against the employer, pursuant to Article 47 from the Federal Decree Law No. 47 of 2021 on regulating business relationship. In terms of the notification period, it shall be a right granted to the party whose employment contract was terminated. Exemption/ reduction can be agreed thereupon without prejudice to the labor’s right to be granted a notification period. Compensation (payment in lieu of notice) can be obtained, in accordance with Article 43 of the same said law.

الإحتيال الإلكتروني
عرف المشرع الإماراتي الإحتيال الإلكتروني بأنه هو الإستيلاء للنفس أو للغير بغير حق علي مال منقول أو منفعة أو علي سند او توقيع هذا السند و ذلك بالإستعانه بأي طريقه من الطرق الإحتياليه او إتخاذ إسم كاذب أو إنتحال صفه غير صحيحه عن طريق الشبكه المعلوماتيه أو نظام معلوماتي الكتروني او احدي وسائل تقنيه المعلومات ،فمن إتكب هذه الافعال المادية بوصفها السابق يقع تحت طائله الاتهام و تكون العقوبه واجبة التطبيق بعد ثبوت الاتهام هي الحبس مده لاتقل عن سنة و الغرامة التي لاتقل عن 250,000 درهم ولا تزيد عن 1,000,000 درهم أو باحدي هاتين العقوبتين و فقا للمقرر بنص الماده 40 من المرسوم بقانون 34 لسنه 2021 في شأن مكافحة الشائعات والجرائم الالكترونية .
Electronic fraud ..
The UAE legislator defined Electronic Fraud as the unlawful appropriation of movable property, a benefit, a document, or the signature of this document for self or others, by using any fraudulent method, adopting a false name or impersonating an incorrect capacity through the information network, an electronic information system, or one of the means of information technology, as whoever commits these material acts, as detailed above, is subject to accusation, and the applicable penalty after the accusation is proven is imprisonment for a period of not less than One Year and a Fine of not less than 250,000 dirhams and not more than 1,000,000 dirhams, or one of these two penalties according to Article 40 of Decree Law No. 34 of 2021 regarding Combating Rumors and Cybercrime.
