بموجب تعديلات 2025 على قانون الشركات التجارية، أصبح بإمكان الشركات نقل قيدها بين الجهات المختصة والمناطق الحرة مع الحفاظ على شخصيتها الاعتبارية واستمرارية أعمالها دون الحاجة إلى التصفية أو إعادة التأسيس.

القوة القاهرة ليست مجرد ظرف صعب أو خسارة مالية مؤقتة.

وفقاً لاجتهادات محاكم الإمارات، لا يُعتد بالقوة القاهرة إلا إذا كان الحدث استثنائياً وغير متوقع وخارجاً عن إرادة الأطراف، ويجعل تنفيذ الالتزامات مستحيلاً أو شديد التعذر، وليس مجرد أكثر تكلفة أو أقل ربحية.

كما تؤكد المحاكم على أهمية الصياغة الدقيقة لبنود العقود، لأن الكثير من النزاعات تنشأ بسبب الغموض في النصوص التعاقدية أكثر من الحدث نفسه.

Force Majeure is not simply a difficult circumstance or a temporary financial setback.
