Real Business Scenario: A Contract Dispute That Could Have Been Avoided

A Zambian company enters into a supply agreement with an international trading partner. The contract is brief two pages summarising commercial terms. Governing law is not specified. No dispute resolution mechanism is included.

Six months later, a payment dispute arises. The international party invokes its home jurisdiction. The Zambian company has no legal standing there and limited resources to pursue offshore litigation.

A dispute that could have been resolved in structured arbitration, under agreed rules, within a defined timeframe, becomes an expensive, drawn-out, and ultimately inconclusive matter.

The contract had all the ingredients of the commercial deal. It lacked the architecture to protect it.

What a well-drafted commercial contract should contain:
✅ Clear payment terms and remedy provisions
✅Governing law clause
✅ Jurisdiction and dispute resolution clause (preferably arbitration)
✅Force majeure provisions
✅Termination and exit terms

If a dispute arose under your current contracts tomorrow, do you know exactly how it would be resolved?

Why Investors Prefer Arbitration Clauses in Commercial Agreements

When international investors structure commercial agreements, arbitration clauses are often non-negotiable. There are clear reasons for this preference.

1. Neutrality : Arbitration can be conducted in a neutral jurisdiction, removing concerns about local court bias.

2. Expertise : Arbitrators are typically chosen for their commercial and legal expertise in the subject matter of the dispute.

3. Confidentiality : Proceedings and awards are private, protecting commercially sensitive information.

4. Enforceability : under the New York Convention, arbitral awards are enforceable in over 170 countries. Zambia's Arbitration Act (Chapter 40 of the Laws of Zambia) provides the domestic legal framework for recognition and enforcement.

5. Speed : commercial arbitration, when well-managed, is typically faster than court litigation.

For investors, including a well-drafted arbitration clause is not a precaution. It is a core element of commercial risk management.

Does your commercial agreement include a clear arbitration clause? If you are unsure what it covers, that is worth looking at.

Litigation vs Arbitration: Which Is Better for Businesses?

For businesses involved in a commercial dispute, the choice of dispute resolution mechanism has significant practical consequences. Understanding the difference between litigation and arbitration is essential before a dispute arises because once it does, your options are largely determined by what your contract says.

Litigation (court proceedings) is public, subject to judicial timelines, and follows a prescribed procedural framework. Appeals can extend matters for years.

Arbitration is private, conducted on timelines agreed by the parties, and decided by an arbitrator with expertise in the relevant commercial field. Awards are enforceable across jurisdictions that are signatories to the New York Convention to which Zambia is a party.

For cross-border commercial transactions, arbitration is generally preferred by experienced investors because:
✅ It keeps sensitive commercial information out of the public record
✅ It allows parties to choose their decision-maker
✅ International awards are more straightforwardly enforced across borders

The most important time to think about dispute resolution is when drafting the contract not after a dispute has already started.

What does your current commercial contract say about dispute resolution? It is worth checking.

Investor Scenario: The Cost of Poor Shareholder Agreements
Two business partners. Equal stakes. A profitable venture.

Three years in, one partner decides to exit. No exit mechanism was included in the shareholders' agreement. No valuation methodology was agreed. No timeline for buyout was specified.

What followed was a deadlock that paralysed operations for eleven months while lawyers negotiated terms that should have been agreed at incorporation.

The business lost contracts. Key staff resigned. What had been a healthy enterprise became a distressed one — not because of market conditions, but because of a legal document that had not been drafted with sufficient rigour.

A shareholders' agreement should address, at minimum: decision-making thresholds, dividend policy, transfer restrictions, pre-emption rights, valuation mechanisms, deadlock provisions, and exit procedures.

This is not administrative paperwork. It is the governance architecture of your business.

Does your shareholders' agreement protect your investment if a dispute arises tomorrow? It is worth reviewing.

Can Foreign Investors Own Land in Zambia?

This is one of the most frequently asked questions by foreign investors considering Zambia and one of the most commonly misunderstood.

The short answer: All land in Zambia is vested in the President on behalf of the Zambian people under the Lands Act, Chapter 184 of the Laws of Zambia. There is no freehold ownership.

What foreign investors can access is leasehold title typically a 99-year lease. However, restrictions apply:

✅ Foreign nationals cannot acquire land in areas reserved for Zambian citizens
✅ Farms and agricultural land carry specific nationality-based restrictions
✅ Conversion of customary land to leasehold requires approval from the Commissioner of Lands

For commercial and industrial purposes, leasehold arrangements are commonly available and provide a workable platform for business operations — provided the process is correctly managed and the title is properly verified before acquisition.

The critical point: never proceed on the assumption that a seller has valid, unencumbered title. Title verification is non-negotiable.

Land investment in Zambia is viable but only when title is properly verified and the legal framework is correctly navigated.
